A leading Legal 500 and Chambers Law Firm, with offices in London and the South East, is currently seeking to recruit a 2-5 year PQE Commercial Corporate Solicitor for their Bishop's Stortford office. The ideal candidate will possess a strong technical background, excellent commercial awareness, and extensive experience in a broad range of transactional matters. This is a fantastic opportunity to join an expanding Corporate and Commercial Team, which handles high-value corporate transactions. The successful candidate will become part of a friendly, energetic, and supportive team that is well-regarded within the industry, offering a collaborative environment and the chance to work on complex and rewarding projects.

The Role:

  • Acquisitions and Disposals: Demonstrating experience in managing both the acquisition and disposal of businesses, assets, and properties, ensuring compliance with legal and regulatory requirements.
  • Corporate Transactions: Providing expertise in handling various corporate transactions, including:
  • Debt Finance: Advising clients on debt financing arrangements, including loan agreements and credit facilities.
  • Management Buy-Outs (MBOs): Supporting the structuring and execution of management buy-outs, working closely with clients to negotiate terms and ensure smooth processes.
  • Company Restructuring: Assisting clients in navigating complex company restructuring, whether due to financial challenges, strategic changes, or growth initiatives.
  • Companies Act Expertise: Being proficient in all matters relating to the Companies Act, ensuring that all corporate actions comply with the latest regulations and statutory requirements.
  • Shareholders' Agreements: Drafting and negotiating comprehensive shareholders' agreements to clearly define the rights, responsibilities, and obligations of shareholders in a company.
  • Partnership Agreements: Assisting with the creation and negotiation of partnership agreements, addressing key terms, and ensuring the long-term success of partnerships.
  • Other Commercial Agreements: Drafting a wide range of other commercial agreements, such as joint venture agreements, non-disclosure agreements, and service contracts, to meet the specific needs of clients.
