About the role

We’re looking for a commercially minded UK-qualified lawyer with strong US exposure to support a founder-led business group expanding into the United States. This is not a traditional in-house role. It’s a flexible, fractional position working closely with a fast-moving leadership team as a trusted legal sounding board. The immediate focus is supporting a Delaware-incorporated US business operating in the software / operational technology space, with wider opportunities across a group of growing businesses over time. The role will start small and ad hoc, with clear potential to scale.

What you’ll be doing

  • You’ll act as an external legal partner, helping the business move quickly while staying protected:
  • Reviewing and advising on commercial contracts with a US angle
  • Sense-checking agreements governed by US law (e.g. Delaware, New York, California)
  • Supporting cross-border contracting between UK and US entities
  • Flagging legal and commercial risks in early-stage deals
  • Advising on liability positioning, indemnities, and contract structure
  • Helping the business understand where specialist US counsel is required
  • Providing practical, business-focused advice, not long-form memos
  • Acting as a sounding board on ad hoc legal and operational questions

What we’re looking for:

We’re interested in lawyers who are:

  • UK-qualified
  • Experienced in commercial / technology contracts
  • Comfortable working across UK and US legal frameworks
  • Able to confidently advise on US-facing agreements (even if not US-qualified)
  • Commercially pragmatic and comfortable in early-stage / founder-led environments
  • Used to working in a fractional, consultancy or portfolio capacity (or keen to do so)

Strong preference for candidates who have:

  • Worked in-house at a scaling business with US operations
  • Regularly advised on US-governed contracts
  • Experience with SaaS, platforms, or technology businesses
  • Exposure to cross-border risk, data, or product considerations
  • Confidence knowing when to advise vs when to escalate to US counsel

How the role will work

  • Initially light-touch (c. 1–3 hours per week)
  • Ad hoc support, with occasional spikes (e.g. contracts, board activity)
  • Flexible consultancy arrangement (via PSC or similar)
  • Remote, with UK-based working hours
