Jeppesen ForeFlight is seeking a qualified and motivated Legal Counsel, Transactions & Commercial Operations, to join the Office of the General Counsel (OGC). Reporting to senior counsel in the OGC, this role supports a broad portfolio of corporate transactions and commercial operations -- including M&A, corporate governance oversight, insurance, finance, collections, real estate, and litigation. It is one of two newly created roles backfilling and maturing practice areas previously held by a departing attorney.

The attorney will work closely with senior counsel on transactions and commercial operations, and the corporate paralegal on governance matters. While the role has core areas of responsibility, we expect the scope to evolve as business needs change - attorneys in the OGC are expected to flex across the department's priorities and contribute wherever needed.

Key Responsibilities

  • Establish procurement playbooks and parameters and serve as primary point of contact for vendor contracting matters, handling escalations from the Procurement team.
  • Oversee the corporate paralegal's execution of corporate governance work, including the board and committee calendar, minutes and resolutions, subsidiary governance, the delegation-of-authority matrix, and the insider-trading policy.
  • Support mergers, acquisitions, and early-stage corporate development alongside senior counsel, including diligence, closing, and post-merger integration.
  • Handle collections and customer-bankruptcy matters, partnering with the corporate paralegal to move work off ad hoc processes and onto a playbook with automated matter sheets.
  • Manage the company's insurance program, including renewals and placement, in coordination with senior counsel; build an automated, repeatable renewal data-gathering process.
  • Support finance legal needs, including intercompany agreements and accounting and treasury support.
  • Support litigation and dispute management, including commercial disputes, eDiscovery, litigation holds, subpoenas, and regulatory investigations, working alongside senior counsel.
  • Handle real estate, facilities, and environmental matters.
  • Develop templates, playbooks, and guidance materials that improve consistency and reduce ad hoc work across the portfolio.
  • Contribute to the build-out of the legal-operations function, including matter management and department metrics.
  • Take on additional legal matters and projects across the OGC as business needs evolve; core responsibilities are a starting point, not a ceiling.

Basic Qualifications

  • LLB equivalent from an accredited law school.
  • Active bar membership and good standing in at least one jurisdiction.
  • Minimum of 5 years of relevant legal practice experience, ideally a mix of in-house and law firm experience.
  • Experience in commercial transactions, procurement, corporate governance, and M&A.
  • Strong understanding of contracts and general commercial legal principles.
  • Excellent written and verbal communication skills.
  • Demonstrated ability to provide practical, business-focused advice and to manage multiple priorities in a collaborative environment.

Preferred Qualifications

  • In-house legal experience in technology, software, or related industry environment.
  • Creditors’ rights and bankruptcy experience.
  • Experience with insurance program management, finance legal support, and real estate, facilities, and environmental matters.
  • Litigation or dispute-management experience, including managing outside counsel.
  • Experience in a regulated industry such as aviation, software, or technology, and building legal processes and automation from the ground up.
