This role is suited for a qualified Company Secretary who wishes to build a career in a professional plc environment, manage London listing requirements, and engage directly with non‑executive directors. The successful candidate will demonstrate good technical, administrative and organisational skills, enthusiasm, and strong interpersonal and numeracy abilities.
Responsibilities
- Act, on behalf of Janus Henderson Secretarial Services UK Limited, as the appointed Company Secretary to nominated investment trust companies.
- Attend board and board committee meetings, take minutes, produce action notes and implement decisions.
- Provide agendas, supporting schedules and reports.
- Coordinate the production of the annual report and half‑yearly shareholder updates.
- Liaise with investment, sales, marketing and accounting departments to ensure timely board reports.
- Maintain statutory records and submit returns to the Registrar of Companies.
- Maintain risk maps for each investment trust client.
- Liaise with and monitor services provided by the Registrar and work with Operations to monitor Depositary/Custodian service.
- Draft and approve stock exchange announcements.
- Review and monitor the website to ensure trust information is correct and up to date.
- Deal with any requests from the Chairman or other directors.
- Ensure registrations and reporting requirements under FATCA, CRS, AIFMD and Data Protection are up to date and reported within correct timelines.
- Keep the departmental forward work schedule up to date in relation to nominated investment trust companies.
- Stay informed about changes to company secretarial practice and ensure trust compliance, liaising with colleagues for best practice.
- Develop a clear understanding of each trust’s portfolio, strategy and ambitions and keep the Head of Investment Trusts and Senior Company Secretary informed of developments.
- Act as a client service officer handling board concerns and facilitating issue resolution with the Head of Investment Trusts.
- Collaborate effectively as a team member, building strong internal and external relationships.
- Assist in training Company Secretarial Assistants to ensure proper procedure adherence.
- Serve as an ambassador for Janus Henderson at all times.
- Carry out additional duties as assigned.

- Understanding of the Companies Act 2006, private company secretarial practice, UK Listing Regulations and FCA Disclosure Guidance.
- Knowledge of GDPR, FATCA, CRS and other regulatory requirements.
- Understanding of GEMS (useful but not essential).
- Qualified Chartered Secretary/Governance Professional (The Institute of Chartered Secretaries and Administrators or equivalent).
- Proficiency in Microsoft Office, Excel and Outlook.
