We're working on a rare opportunity for a UK-qualified Share Incentives Lawyer to join a high-growth, internationally focused practice in London, advising some of the most dynamic and innovative companies in the technology and life sciences sectors. This is not a traditional incentives role. Sitting at the intersection of corporate, tax, and high-growth advisory work, you will be advising fast-scaling businesses - from early-stage ventures through to global market leaders - on the design and implementation of sophisticated equity incentive arrangements. The work is inherently international, with a strong UK/US focus and close collaboration with colleagues across the Atlantic on cross-border matters.

You will work closely with an established Partner in a lean and ambitious London team, offering significant exposure to clients and a genuine platform for progression. The practice supports companies through their full lifecycle - fundraisings, M&A, IPOs, and beyond - meaning your role will be both advisory and transactional, and closely aligned with corporate deal flow.

The role will involve:

  • Designing, drafting and implementing share incentive plans, including EMI, CSOP and non-qualified arrangements;
  • Advising on growth shares, flowering shares and related financing structures;
  • Providing clear, commercial advice on the tax implications of UK employee incentive arrangements;
  • Supporting on valuation matters, including benchmarking and analysis;
  • Working closely with US colleagues on cross-border incentive issues affecting UK, European and US businesses;
  • Advising on incentives aspects of financings, M&A transactions and other corporate events;
  • Assisting with non-employee equity arrangements;
  • Contributing to client development initiatives, thought leadership and internal know-how;
  • Supporting the continued build-out of the team's precedent bank.

You will be a UK-qualified Lawyer with between 2-5 years' experience, with a strong grounding in employee share incentives. A solid technical understanding of EMI, CSOP, growth shares and non-qualified plans is essential, alongside a commercial and solution-driven mindset. Exposure to technology or venture-backed clients would be advantageous, as would any familiarity with US incentive structures, though neither is essential.
