Following the recent announcement by ITV of the sale of its M&E business to Sky, a dedicated M&A Technology Serive Delivery Lead is required.
This high-profile role sits within the ITV Studios plc Group Technology Directorate.
You will be responsible for establishing the operational framework to mobilise pre-drafted TSAs, managing the ongoing delivery of critical technology services to the acquirer during a 24-to-36-month transition window, and meticulously planning the clean exit of these services.
Key Responsibilities
- Framework Establishment & Mobilisation (Pre-Close / Regulatory Window)
- Operationalise the pre-drafted and agreed TSAs across all in-scope technology domains during the 12-month regulatory review period.
- Define governance structures, KPIs, Service Level Agreements (SLAs), and reporting cadences between Remain Co and the Acquirer.
- Stand up the appropriate governance in line with wider programme governance, ensuring clear roles, responsibilities, and escalation paths are established for Day 1 readiness.
- Service Delivery Management (Post-Close Transition)
- Govern the end-to-end delivery of TSA technology services, collaborating with internal Service Owners who maintain operational accountability for their respective technologies
- Oversee the end-to-end execution of technology services under the TSA, partnering with internal Service Owners who retain functional responsibility for their individual technical environments.
- Monitor vendor performance and internal delivery teams to ensure consistent alignment with TSA obligations.
- Commercial Protection & Risk Management
- Safeguard Remain Co from commercial exposure, ensuring service delivery strictly matches contract boundaries to avoid scope creep or uncompensated effort.
- Work closely with Finance Business Partners to manage accurate billing, cost-recovery mechanisms, and cross-charging to the acquirer.
- Proactively manage risks to ensure Remain Co is not exposed to service penalties, legal remedies, or operational degradation of its own ongoing business.
- Exit Planning & Stranded Cost Mitigation
- Collaborate with both Remain Co teams and the acquirer to design and execute detailed exit plans for each TSA.
- Strategically identify and work with Technology leaders to mitigate stranded costs (e. g., residual software licenses, underutilized infrastructure, unallocated staff overhead) to ensure zero financial tail for Remain Co post-separation.
Experience & Skills

Expertise: Proven track record of leading complex technology separations, divested entity stand-ups, or TSA delivery management within large corporate environments.

Literacy: While not a hands-on technical role, you must comfortably speak the language of infrastructure, cyber security, enterprise applications, and IT service management (ITSM/ITIL).
- Commercial & Legal Acumen: Deep experience interpreting, managing, and enforcing legal contracts, commercial schedules, and SLAs. Strong understanding of cost-recovery models.
- Stakeholder & Relationship Mastery: Exceptional negotiation skills with the ability to balance the competing priorities of an ambitious acquirer and a protective parent company.
- Resilience & Discretion: Ability to operate effectively in a highly confidential, changing environment during a protracted regulatory approval phase.
- Experience working within Global Media, Entertainment, Broadcast, Telecoms, or heavily regulated tech environments is highly advantageous.
