We are seeking a Legal Counsel (Commercial & Corporate) to join our growing in-house legal team. This is a fantastic opportunity to work within a dynamic renewable energy business, supporting across a broad range of corporate, commercial, and project-related legal matters.

You will play a key role in coordinating and delivering legal support across M&A transactions, due diligence processes, corporate governance, and commercial contracting. Working closely with colleagues across the business and external advisers, you will ensure that matters are managed efficiently and to a high standard.

This role is well suited to a commercially minded, highly organised lawyer looking to move in-house or further develop their in-house career while contributing to the delivery of major energy infrastructure projects.

What You Will Be Doing

  • Leading and coordinating legal due diligence workstreams, including managing data rooms, organising documentation, and tracking transaction timelines
  • Supporting corporate transactions, including acquisitions, disposals, joint ventures, and financing activities
  • Drafting, reviewing, and managing a range of commercial agreements, such as NDAs, supplier contracts, and standard terms and conditions
  • Acting as a first-line reviewer of due diligence reports and key transaction documents, identifying risks and coordinating internal responses
  • Managing corporate governance matters, including SPV incorporations, board and shareholder matters, and statutory filings
  • Supporting KYC, audit, and compliance processes in collaboration with Finance and external advisers
  • Preparing documentation for execution and ensuring accuracy and timely completion
  • Acting as a central point of coordination across corporate and project workstreams
  • Assisting with the development and enhancement of legal processes, templates, and contract management practices
  • Managing relationships with external legal advisers to ensure effective delivery

What We Are Looking For

  • Qualified solicitor in England & Wales (or equivalent), with approximately 3-4 years’ PQE
  • Strong background in corporate and commercial law, gained in private practice and/or in-house
  • Experience supporting corporate transactions, including M&A, project acquisitions or disposals, joint ventures, and financing activities (essential)
  • Hands-on experience managing legal due diligence processes and data rooms (essential)
  • Experience reviewing and managing commercial contracts, including supplier agreements and standard terms
  • Some knowledge of property or construction documentation would be beneficial
  • Highly organised, detail-oriented, and able to manage multiple workstreams effectively
  • Strong commercial awareness and ability to communicate clearly with non-legal stakeholders
  • A proactive mindset, with the confidence to take ownership of process-driven legal work
  • An interest in renewables, infrastructure, or project-based businesses (desirable)
