Role: M&A Finance Consultant (Transaction Support & Financial Modeling)
Location: London (Hybrid; 2 to 3 days per week in office)
Day Rate: £650 to £800 per day Inside IR35 (DOE)
Overview
We are recruiting a hands-on Finance Consultant to support an active M&A deal for a leading UK software and technology business. Working directly with the deal team and external advisers, you will build the financial models and undertake the analysis needed for transaction diligence, carve-out planning, and board sign-off.
Key Responsibilities
- Integrated Financial Modeling: Build, stress-test, and maintain dynamic 3-statement models (P&L, Balance Sheet, Cash Flow) for valuation, scenario testing, and deal structuring.
- Carve-Out & Pro Forma Financials: Lead cost allocation exercises, identify stranded costs, model standalone run-rates, and build pro forma financial statements.
- Transaction Diligence Support: Interrogate target historical performance, assess quality of earnings (QoE), analyze working capital/net debt adjustments, and support data room management.
- Stakeholder & Advisory Engagement: Partner with external advisers (Corporate Finance, Tax, Legal, Diligence providers) and draft decision-ready presentations for the Investment Committee.
- Synergy & Separation Planning: Quantify operational synergies and establish robust version control/audit trails as deal assumptions evolve.
What We Are Looking For
- Qualification: ACA, ACCA, CIMA (or equivalent) with substantial hands-on FP&A and transaction experience.
- M&A/Deal Background: Prior experience in corporate finance, transaction services (Big 4/mid-tier advisory), or in-house corporate M&A.
- Modeling Expertise: Advanced, blank-sheet Excel modelling capability (3-statement, carve-out, integrated operational models).
- Delivery-Focused: Proven ability to handle incomplete data, manage tight timelines during active deal phases, and communicate complex financial insights to senior stakeholders.
