The Company Secretarial team is a collaborative function operating within a flat structure. Working in a purpose-driven organisation, the team partners closely with senior stakeholders across the business to drive its purpose of creating enduring worth, enable effective decision-making and uphold the highest standards of governance within a complex international financial services group. The flat structure ensures broad exposure to a wide range of responsibilities, empowering each team member to contribute meaningfully, take ownership, and grow through direct interaction with Board Members, Executives and Senior Management.
Description of the role:
You will work directly with Board Members, Non-Executive Directors, and Executives, gaining unparalled senior stakeholder exposure from day one. You\βll support key governance processes across Investec\βs UK entities while also contributing to broader strategic initiatives such as ESG, governance frameworks, and process innovation. The role offers a unique balance of technical responsibility, advisory input, and strategic impact.
Main responsibilities
Governance and Compliance:
- Ensure compliance with the UK Corporate Governance Code, UK Companies Act, UK Listing Regime, UK MAR and related requirements.
- Draft and arrange release of regulatory announcements (RNS).
- Maintain statutory records, terms of reference, and matters reserved for the Board.
- Drive efficiencies in core governance processes and adoption of digital solutions.
Board and Committee Support:
- Provide support to Board, Board Committees and Senior Governance Committees.
- Manage a portfolio of regulated and unregulated entities: drafting agendas, preparing governance reports, monitoring actions, and producing minutes.
- Partner with Non-Executive Chairs and Executives to ensure effective committee operations.
- Support Executive and Management Committees, including the Executive Risk Committee.
Advisory and Stakeholder Engagement:
- Act as a trusted advisor to Boards and senior management, providing clear, pragmatic guidance on governance and regulatory developments.
- Build strong working relationships with Board Members, Non-Executive Directors, Executives, and Senior Managers.
- Contribute to the drafting of corporate governance sections of the Annual Report and preparations for the AGM.
Strategic Alignment and Organisational Impact:
- Support wider strategic initiatives such as governance framework development and governance culture.
- Enable effective decision-making by ensuring governance structures support the delivery of strategic objectives within the groups purpose, culture and values.
- Champion continuous improvement in governance processes aligned with the organisations purpose-driven culture.
- Drive efficiencies in core governance processes and adoption of digital solutions.

Technical Knowledge:
- Company Secretarial expertise β proven experience in a commercial environment, ideally within financial services.
- Governance and regulation β strong knowledge of the UK Corporate Governance Code, Companies Act, Disclosure and Transparency Rules, and Listing Rules, with an understanding of FCA regulations for authorised firms.
- Regulatory frameworks β experience of SMCR-related matters an advantage.
- Digital Governance tools β working knowledge of Diligent Boards, with exposure to GEMS or similar systems a strong advantage.
- Technical precision β able to draft clear governance reports, regulatory announcements, and high-quality board materials with accuracy and clarity.
