A leading US law firm is seeking a talented mid-level Corporate M&A Associate to join its highly regarded London corporate practice, with a particular focus on Public M&A. This is an excellent opportunity for a corporate lawyer with strong UK public M&A experience to work on sophisticated, high-value transactions within an internationally recognised practice and alongside leading practitioners and clients.

The Opportunity

  • The successful candidate will work across the full lifecycle of complex public and private M&A transactions, from initial structuring and diligence through to negotiation, execution and closing.
  • The role will have a particular emphasis on UK public company transactions and will involve:
    • Advising on the application of the UK Listing Rules and UK Takeover Code
    • Working on public takeovers and other complex public M&A transactions
    • Drafting offer documents for UK public transactions and circulars for UK-listed companies
    • Drafting and negotiating key transaction documentation, including:
      • Share purchase agreements
      • Disclosure schedules
      • NDAs
      • Joint venture agreements
      • Restructuring plans
    • Conducting legal and commercial due diligence and identifying and communicating key risks
    • Coordinating multiple workstreams and stakeholders throughout transactions
    • Working closely with partners, clients, opposing counsel and financial and other professional advisers
    • Collaborating with colleagues across different practice areas to deliver integrated client advice
    • Contributing to business development, training and knowledge-sharing initiatives

Candidate Profile

  • We are looking for a UK-qualified corporate solicitor with approximately 4–6 years PQE and a strong M&A background.
  • The ideal candidate will have:
    • Significant experience in public M&A, alongside solid private M&A experience
    • Strong exposure to UK public takeovers
    • Excellent knowledge of the UK Takeover Code and UK Listing Rules
    • Experience with joint ventures and/or restructuring transactions
    • Strong drafting, analytical and negotiation skills
    • The ability to manage multiple complex workstreams effectively and work to demanding deadlines
    • Excellent commercial awareness and sound judgement
    • A proactive, solutions-focused approach
    • Strong interpersonal and client-facing skills
    • An interest in cross-border transactions and experience working within an international environment
    • A collaborative mindset and willingness to contribute to the development of junior lawyers through mentoring and training

Candidates should ideally have trained and qualified within a leading City or US corporate practice and have experience handling sophisticated, high-value transactions.
