p strong Corporate M A Associate — Mid-Level | Public M A /strong /p p br /p p A leading strong US law firm /strong is seeking a talented strong mid-level Corporate M A Associate /strong to join its highly regarded London corporate practice, with a particular focus on strong Public M A /strong . /p p br /p p This is an excellent opportunity for a corporate lawyer with strong UK public M A experience to work on sophisticated, high-value transactions within an internationally recognised practice and alongside leading practitioners and clients. /p p br /p p strong The Opportunity /strong /p p br /p p The successful candidate will work across the full lifecycle of complex strong public and private M A transactions /strong , from initial structuring and diligence through to negotiation, execution and closing. /p p br /p p The role will have a particular emphasis on UK public company transactions and will involve: /p p br /p ul li Advising on the application of the strong UK Listing Rules /strong and strong UK Takeover Code /strong /li li Working on public takeovers and other complex public M A transactions /li li Drafting offer documents for UK public transactions and circulars for UK-listed companies /li li Drafting and negotiating key transaction documentation, including: /li li Share purchase agreements /li li Disclosure schedules /li li NDAs /li li Joint venture agreements /li li Restructuring plans /li li Conducting legal and commercial due diligence and identifying and communicating key risks /li li Coordinating multiple workstreams and stakeholders throughout transactions /li li Working closely with partners, clients, opposing counsel and financial and other professional advisers /li li Collaborating with colleagues across different practice areas to deliver integrated client advice /li li Contributing to business development, training and knowledge-sharing initiatives /li /ul p br /p p strong Candidate Profile /strong /p p br /p p We are looking for a strong UK-qualified corporate solicitor with approximately 4–6 years PQE /strong and a strong M A background. /p p br /p p The ideal candidate will have: /p p br /p ul li Significant experience in strong public M A /strong , alongside solid private M A experience /li li Strong exposure to strong UK public takeovers /strong /li li Excellent knowledge of the strong UK Takeover Code and UK Listing Rules /strong /li li Experience with joint ventures and/or restructuring transactions /li li Strong drafting, analytical and negotiation skills /li li The ability to manage multiple complex workstreams effectively and work to demanding deadlines /li li Excellent commercial awareness and sound judgement /li li A proactive, solutions-focused approach /li li Strong interpersonal and client-facing skills /li li An interest in strong cross-border transactions /strong and experience working within an international environment /li li A collaborative mindset and willingness to contribute to the development of junior lawyers through mentoring and training /li /ul p br /p p Candidates should ideally have trained and qualified within a strong leading City or US corporate practice /strong and have experience handling sophisticated, high-value transactions. /p p br /p p strong What the Role Offers /strong /p p br /p ul li The opportunity to join a strong leading US law firms London corporate practice /strong /li li High-quality exposure to complex strong UK and cross-border public M A /strong /li li Work alongside highly regarded corporate lawyers and sophisticated international clients /li li Exposure to a broad range of public and private transactions /li li A collaborative, high-performance environment /li li Strong opportunities for career development and increasing responsibility /li li The opportunity to build further expertise in public company transactions and cross-border M A /li /ul p br /p p This is a particularly strong opportunity for a strong 4–6 PQE corporate M A lawyer with a strong public M A background /strong who is looking to join a leading US platform and work on sophisticated domestic and cross-border transactions. /p p br /p p For a confidential discussion about the opportunity, please get in touch. /p
