In this role you partner with ICE’s leadership to steer commercial licensing for the global proprietary exchange data business. You will advise on complex licenses, data and software agreements, and multi-party arrangements, while navigating diverse regulatory regimes. You’ll explore emerging areas like digital assets and AI-driven legal operations, ensuring compliance and strategic value. You will work closely with C-suite and SVP stakeholders to enable market data growth and responsible innovation.
Responsibilities
- Lead counsel for commercial license transactions supporting ICE's exchange data business
- Draft, negotiate, and manage licenses for exchange-traded products (ETPs) including data feed and benchmark agreements
- Advise on software license agreements governing technology platforms for data delivery
- Structure complex, multi-party licensing with exchanges, data vendors, clients, and partners
- Provide regulatory counsel on CFTC, FCA, ESMA, SEC frameworks and monitor developments
- Partner with compliance to ensure licensing aligns with market data rules across jurisdictions
- Advise on digital assets and cryptocurrency spaces; governance of AI tools for legal operations
- Identify and manage legal risks in AI-generated outputs, data provenance, and automated decisions
- Engage with senior executives, collaborate with cross-functional teams, and manage outside counsel and budgets
Key requirements
- Juris Doctor (JD) or equivalent legal qualification
- Bar admission in New York, England & Wales, or another relevant jurisdiction
- Expert experience in commercial licensing, financial products, or capital markets
- Proven drafting and negotiation of complex commercial license agreements (data, product, software)
- Experience advising senior executives in fast-paced environments
- Knowledge of derivative exchange markets and applicable regulatory regimes
