Job Purpose
To support the delivery of ICAEW's strategy by providing high-quality and timely governance advice and support, as a core member of the Governance Team.
Responsibilities
- Advising and supporting ICAEW Board, committees and subsidiary companies in line with the ICAEW's Royal Charter, governance framework, statutory and regulatory requirements and best practice.
- Providing professional governance services and advice to Chairs of the ICAEW Council, Board, Governance and Committees and the Regulatory Board, and leading on high-profile governance projects such as Council elections and AGMs.
- Coordinating the work of governance bodies with colleagues across ICAEW to ensure effective and efficient operation.
- Organising and supporting ICAEW Annual and Special Meetings; preparing agendas, reports, minutes and associated documentation.
- Ensuring Board, Council and committee members are briefed, trained as required and supported through communications via Teams, email, websites and webinars; organising induction of new members.
- Running elections to and from ICAEW Council including biennial Council elections, election of Chair of Council, members of the Board, Nominating Committee and Vice President.
- Maintaining the Royal Charter, Principal Bye-Laws, ICAEW Governance Handbook, terms of reference, election regulations and related policies, and improving effectiveness and efficiency where possible.
- Supporting the Active Member Conduct Procedure, including receipt of complaints, establishing relevant panels and administering decisions.
- Acting as company and board secretary to subsidiaries of ICAEW (CAT Ltd, international subsidiaries and branches) and associate organisations such as CCAB and Chartered Accountants Worldwide.
- Adapting specific duties in line with business needs.
Education, Qualifications, Experience and Skills
- Previous experience of working in a governance environment.
- Good standard of education with an appropriate qualification or part-qualification (e.g., CGI).
- Excellent stakeholder management and strong communication skills.
- Good attention to detail, including forward planning, accurate minute writing and proofreading documents.
- Intelligent and resourceful with an organised, practical problem-solving approach focused on outcomes.
- Proactive, identifying and recommending improvements to existing processes.
- Collaborative team player with a flexible attitude.
- Good working knowledge of the MS Office suite (Word, Outlook, PowerPoint, Excel) and confidence in maintaining records in MS Dynamics.
- Project management experience desirable but not essential.
