As Assistant Vice President – Internal Company Secretary, you will play a key role in supporting the delivery of company secretarial, governance, risk and regulatory activities across a global organisation. Working closely with senior stakeholders, you will help ensure strong corporate governance, regulatory compliance and operational effectiveness across Boards, committees and regulated entities, while contributing to the ongoing development of governance and risk frameworks.
Key Responsibilities- Support the coordination and administration of Board, committee and senior management meetings, including scheduling, agenda preparation and distribution of meeting materials.
- Assist with the preparation, filing and maintenance of Board minutes, resolutions, statutory records and governance documentation across regulated entities.
- Maintain accurate corporate records and governance documentation within document management systems and internal governance platforms.
- Provide governance and company secretarial support across a range of strategic and operational initiatives.
- Support the maintenance of governance, compliance and risk registers, ensuring records remain accurate and audit‑ready.
- Assist with regulatory requests, audits and internal reviews, including the preparation of supporting documentation and information.
- Conduct research and prepare summaries on regulatory developments, governance updates and compliance matters.
- Support the maintenance and updating of internal policies, templates, procedural documents and governance‑related training materials.
- Assist with KYC, due diligence and DDQ requests, ensuring records and supporting documentation are accurate and up to date.
- Coordinate governance and compliance information across jurisdictions and internal stakeholder groups.
- Contribute to continuous improvement initiatives, identifying efficiencies and supporting enhancements to governance and operational processes.
- Strong experience within a company secretarial, governance, legal or professional support environment.
- Experience supporting Boards, committees and senior stakeholders within a regulated or professional services environment.
- Good understanding of corporate governance frameworks, regulatory obligations and compliance processes.
- Excellent organisational skills, with the ability to manage multiple priorities and meet deadlines in a fast‑paced environment.
- High attention to detail, with strong documentation, recordkeeping and quality control capabilities.
- Strong written and verbal communication skills, with the ability to prepare clear, concise and accurate documentation.
- Confident working across multiple systems, document management platforms and governance tools.
