The position offers avariedremit, including deputising for the Deputy Company Secretary, and requires a proactive, autonomous professional comfortable with responsibility in aFTSE 100-listed environment.Key ResponsibilitiesGovernance & ComplianceDeliver end-to-end governance and secretarial support, ensuring compliance with:UKLA Listing Rules,Disclosure Guidance and Transparency Rules (DTR),Companies Act 2006,UKMarket Abuse Regulation (MAR), and other relevant legislation.Maintenance ofrestricted/insider listsPreparation ofdividend documentation andregulatory announcements(London Stock Exchange).Subsidiary ManagementOversee theglobal subsidiary portfolio, including:Filings withCompanies House (UK),CRO (Ireland), and updates toDiligent Entities (Blueprint).Coordination ofBoard meetings(agendas, minutes, actions),appointments, and statutory approvals.Corporate ProjectsSupportGroup restructuring,M&A integrations, andpost-acquisition compliance.AssistwithInforma PLC\βs Annual Report, drafting governance/remunerationsections and managing shareholder mailings.Leadstrike-off processesfor UK/Irish entities.Board & Committee SupportAct as Secretary to theRisk Committee,Tax & Treasury Committees,includingMinute-taking,action tracking, and liaison with senior stakeholders.Stakeholder & Systems ManagementLiaise withRegistrars,auditors,Investor Relations, andexternal designers.MaintainBoard portals (Diligent)and provide training toCompany Secretarial Assistants.Qualifications CGI (ICSA) qualified(ideallyACG/ACIS)withlisted company experience.Expert knowledge of:UK Corporate Governance Code,Companies Act 2006,MAR,Listing Rules,DTRs.Subsidiary governance in alarge, complexmultinational group.ProficiencyinDiligent EntitiesandMicrosoft Office.Autonomy: Ability towork independently, manage competing prioritiesand deliverhigh-quality outcomes.Attention to Detail: Rigorous approach to compliance and documentation.Stakeholder Management: Confident liaising withLeadership Team, advisors, and cross-functional teams.Adaptability: Hands-on approachincludingto ad-hoc projects (e.g., notarisations, regulatory queries).Excellent communication and stakeholder management skills across multiplejurisdictions.Experience withVisio(for structure charts).Exposure tointernational corporate structures.Additional Information We believe that great things happen when people connect face-to-face.
