The predicted salary is between 45000 - 55000 £ per year.
The role involves a mixture of generalist company secretarial work. It will require excellent organisational and communication skills, supporting the Corporate Governance Manager and General Counsel, liaising with the group’s investors and with external advisers and service providers across several jurisdictions. The ideal candidate will have at least three years’ experience of company secretarial work, may be a qualified chartered secretary or will have worked as a corporate paralegal and be familiar with the general principles of companies law and corporate governance rules.
Responsibilities
- Managing board and committees’ packs and taking minutes of meetings
- Maintaining the statutory books of various companies within the group
- Dealing with all company returns and filings for the companies in the group, including companies incorporated in England and Wales, Guernsey, Jersey, the Isle of Man and the BVI
- Managing registered agents/CSPs in foreign jurisdictions
- Drafting board and shareholders resolutions
- Drafting and managing signatories lists and rules
- Dealing with all KYC requests
- Managing the liquidation of corporate entities
- Managing the risk compliance process and maintaining the group risk register
Skills and Experience
- Previous experience as assistant company secretary/corporate paralegal
- Knowledge and understanding of the UK Companies Act and similar legislation in foreign jurisdictions
- Proficient with all main applications in the MS Office environment
- Excellent organisational and communication skills
- Strong attention to detail
