The Legal & Contracts Specialist is responsible for supporting the company's contractual, corporate governance, and compliance activities across multiple jurisdictions. The role ensures that contracts, corporate records, and legal documentation are properly managed, risks are identified and mitigated, and the business remains compliant with local regulatory requirements in relevant countries of operation, working with external legal counsel where required.

Responsibilities

  • Review, evaluate, and administer client contracts and commercial agreements.
  • Develop and issue flow-down contracts to relevant subcontractors in accordance with client contractual requirements.
  • Draft, review, and manage service agreements, Non-Disclosure Agreements (NDAs), Memoranda of Understanding (MOUs), and other contractual documents with third parties, using approved templates where applicable.
  • Review leases, service agreements, and supplier contracts to ensure contractual compliance and commercial suitability.
  • Create, maintain, and update contract templates to reflect legal, operational, and business requirements, in coordination with internal stakeholders and external counsel where appropriate.
  • Maintain accurate and up-to-date contract records, registers, templates, key obligations, renewal dates, expiry deadlines, and supporting documentation.
  • Review third-party agreements and identify potential legal, commercial, and operational risks.
  • Highlight areas of concern and provide recommendations for risk mitigation, escalating complex or jurisdiction-specific matters to external counsel where required.
  • Support internal stakeholders by providing guidance on contractual matters and legal requirements within the scope of the role and in coordination with counsel as appropriate.
  • Assist the People & Culture team with employment-related legal queries and contractual amendments.
  • Review, edit, and issue bilingual freelancer and employment agreements in Poland and Ukraine using approved templates and in coordination with local counsel where required.
  • Maintain and manage the database of corporate documents for all entities within the group.
  • Monitor renewal requirements and ensure corporate documents remain valid and up to date.
  • Coordinate the notarisation, legalisation, and apostille processes for corporate and legal documents as required.
  • Liaise with external legal counsel and corporate lawyers across the company's countries of operation.
  • Conduct research on legal, regulatory, contractual, and compliance requirements in multiple jurisdictions to support business decision-making and identify matters requiring specialist legal advice.
  • Monitor legislative and regulatory changes affecting the business and provide timely updates to management on relevant developments.
  • Maintain corporate and compliance tracking systems to ensure key documents, deadlines, renewals, and legal information are accurate, current, and readily accessible.
  • Prepare reports and summaries relating to contracts, corporate compliance, and legal matters when required.
  • Attend weekly meetings with the company’s executive director and provide updates on legal, contractual, and compliance matters.
  • Collaborate with internal departments and external advisors to support business operations and strategic objectives.
  • Build and maintain effective working relationships with legal counsel, service providers, and key stakeholders.
  • Occasional international travel to corporate offices may be required to support legal, compliance, and corporate governance activities.

Qualifications

  • Bachelor’s degree in Law, Business Administration, International Relations, or a related field.
  • Fluency in English, both written and spoken. Additional languages are an advantage.
  • Strong attention to detail and organisational skills.
  • Excellent written and verbal communication skills.
  • Ability to analyse information and identify potential risks.
  • Strong stakeholder management and relationship-building skills.
  • Ability to manage multiple priorities and meet deadlines.
  • Proactive, solution-oriented, and able to work independently.
  • High level of professionalism, discretion, and confidentiality.
  • Proficient in Microsoft Office applications.
