Our Legal & Tax teams work with the business and our investors to provide support on our global products and services, and the markets in which we operate.

The Role

This role will support the effective operation of IFM’s governance framework across its European corporate entities, with a particular focus on the UK, Luxembourg, Netherlands, Poland, Italy and Spain. This role will partner closely with the IFM Commercial Team across Governance, Legal, and Tax, senior stakeholders and various internal IFM Teams to ensure high quality company secretarial and corporate governance support. This role will also play a key part in supporting strategic transactions and projects, legal entity management and regulatory matters. The role operates within a global governance function, with a focus on UK and Europe region, clear functional accountability to the IFM Group Company Secretary and day to day interaction with other internal and external stakeholders to ensure timely, pragmatic and commercially focused governance outcomes. The role is for a 12-month period on a fixed term contract.

Key Responsibilities

  • Provide high-quality company secretarial and corporate governance support across IFM’s European companies, with a particular focus on the UK, Luxembourg, Netherlands, Poland, Italy and Spain.
  • Proactively take the lead to coordinate board meetings, work with relevant stakeholders to set agendas, draft minutes and ensure the smooth-running of meetings and prompt finalisation of minutes, document execution and other post-meeting action items.
  • Where IFM uses third party Company Secretary service providers, work to build strong relationships combined with appropriate management and oversight to ensure that they are meeting the equivalent standards.
  • Collaborate closely with the IFM Commercial Team across Governance, Legal and Tax and other internal and external stakeholders to maintain accurate legal entity information on Document Management Systems for record-keeping, regulatory reporting and governance purposes and to file annual financial statements and other statutory filings with the relevant registries.
  • Work with IFM’s stakeholders and advisers to proactively identify and assess relevant governance, regulatory and legal risks across IFM’s European entities.
  • Continue to grow and further strengthen IFM’s existing relationships with European Company Secretary stakeholders, whether that be existing service providers, law firms or notaries, to streamline and improve efficiencies across our network.
  • Work and collaborate closely with IFM internal teams on corporate and governance matters.
  • Work with IFM’s KYC specialists to respond to information requests.

Your Background And Experience

  • A minimum of 3-5 years of experience in corporate secretarial, governance or legal administration work.
  • Experience supporting boards and committees, including coordinating meetings and minute taking.
  • Experience working in busy work environments, ideally in international cross-border financial institutions with large corporate and/or fund structures, particularly across the UK, Luxembourg, Netherlands, Poland, Italy and Spain.
  • Experience coordinating and managing multiple stakeholders including external Company Secretary service providers.
  • Experience with delegations of authority or other governance decision making matrixes is helpful.
  • Experience of working through the corporate entity lifecycle – from incorporation to BAU, including record keeping and regulatory filings (with support from advisers or internal specialist teams).
  • Experience through transactional and/or fund establishment not prerequisite but viewed favourable.
  • Experience of acting proactively and with strong accountability; able to work both independently and as part of a diverse team.

Qualifications

  • Degree or diploma in Law, Corporate Governance, Business Administration, or related discipline.

Business Knowledge

  • Skilled in managing multiple projects and deadlines, proactively engaging with stakeholders, utilising processes and demonstrating strong organisation skills with a can-do attitude and high attention to detail.
  • Strong written communication skills; able to structure written communications clearly to multiple stakeholders, including board directors and international service providers.
  • Skilled at identifying legal and governance risks and proposing effective, business-aligned solutions.
  • Demonstrated commitment to continuous improvement and operational excellence; able to see how new processes and structures can be put in place to streamline and improve efficiency.
  • Good understanding of corporate governance and skilled in drafting board minutes.
  • Knowledge of corporate group and fund structure concepts.
  • Understanding of the UK Companies Act, FCA supervision and Senior Managers Certification Regime is helpful but not essential.
  • Knowledge of UK, Luxembourg, Netherlands, Poland, Italy and Spain company law and corporate governance is helpful but not essential.
  • Proficient in MS Office and experience with Board Intelligence and Diligent systems is helpful.
  • Understanding of the possible use and limitations of AI in a Corporate Secretarial role is helpful.

Technical Knowledge

  • Good understanding of corporate governance and skilled in drafting board minutes.
  • Knowledge of corporate group and fund structure concepts.
  • Understanding of the UK Companies Act, FCA supervision and Senior Managers Certification Regime is helpful but not essential.
  • Knowledge of UK, Luxembourg, Netherlands, Poland, Italy and Spain company law and corporate governance is helpful but not essential.
