Role overview

We are looking for a talented Corporate Associate to join our established office in Manchester. This is a great opportunity for an ambitious lawyer to progress quickly through the ranks with the support of experienced lawyers. Alongside Manchester, the corporate team has a presence in Leeds, Newcastle, Birmingham, Liverpool and London and offer the following services:

  • Mergers and acquisitions
  • Private equity
  • Equity capital markets
  • Business sales
  • Joint ventures
  • Corporate reorganisations

Key responsibilities:

  • Supporting on mergers or acquisitions or disposal transactions for corporate clients
  • Supporting/leading acquisition and disposal of business and assets and/or shares
  • Supporting on public company transactions, such as IPOs or equity fundraisers
  • Supporting/leading due diligence exercises, data room reviews or management and disclosure processes
  • Preparation and finalisation of disclosure letters and supporting bundles
  • Supporting on and reviewing investment documents
  • Drafting and negotiating the terms of transaction ancillary documents
  • General corporate work including corporate restructurings, shareholders agreements, joint ventures and limited liability partnership agreements
  • Assisting with business development and tenders
  • Opportunities for early exposure to clients

What are we looking for:

Important criteria:

  • Qualified Solicitor – 2 to 5 years PQE
  • Strong technical skills and a willingness to learn
  • Ability to work as part of a team
  • Excellent communication/client service skills
  • Excellent attention to detail
  • Excellent organisational skills
  • The ability and experience of independently managing a caseload providing sound commercial advice
  • Adheres to guidelines and procedures
  • An understanding of clients’ needs and expectations
  • Flexibility in approach and a willingness to work outside normal office hours, if required
