We're working with a highly regarded financial services organisation looking to hire a Company Secretary to support a portfolio of structured finance vehicles. This role sits in a specialist team overseeing SPVs and capital markets structures, offering strong exposure to transactions, board interaction and complex governance environments.
The Role
You’ll play a key role in the day-to-day governance and administration of SPV structures, supporting structured finance transactions from setup through to ongoing life cycle management.
Key responsibilities include:
- Managing a portfolio of SPVs, ensuring robust governance and statutory compliance
- Coordinating board and shareholder meetings, preparing agendas, minutes and resolutions
- Supporting structured finance transactions, including incorporations, restructurings and refinancings
- Maintaining statutory records and delivering all Companies House filings
- Acting as a key point of contact for stakeholders including directors, legal counsel, banks and service providers
- Supporting KYC/AML processes and ongoing regulatory compliance
Your Background
- 4-6 years' experience in company secretarial/corporate services within financial services
- Strong exposure to SPVs, structured finance or capital markets environments
- Solid understanding of Companies Act requirements and governance best practice
- Experience supporting board processes and managing corporate actions
- Confident working with multiple stakeholders in a fast-paced, transaction-driven environment
- Studying towards CGI (or equivalent) is advantageous but not essential.
