A highly acquisitive insurance business with a growing presence across the UK is looking to expand their finance team with a strategic hire. This role will report to the Head of Finance operations and will have significant interactions with the CFO and Head of M&A, as well as other internal stakeholders outside of finance.
Following several large acquisitions on top of a large portfolio of potential deals, they now require an experienced accountant to work through the process of integrating these businesses into existing processes and systems.
- Integration project management: Coordinate and facilitate the integrations of acquisitions for the Finance department, which includes setting up and coordinating meetings for upcoming integrations to ensure the Finance team manage their workstreams. Liaise with work stream leads to bridge gaps, provide support and manage the appropriate messaging to the vendor. Attendance at main integration meetings to ensure Finance workstreams coordinate with all other departments.
- Pre-completion of an acquisition: Attend regular meetings with the M&A team to understand the pipeline of acquisitions and work closely with the team to understand the valuation models for each deal to support the basis of the deal and upcoming calculations for each acquisition. Ongoing regular communication with the M&A team to ensure all SPA deadlines are met and coordination of workstreams and vendor messaging. Support the M&A team on six monthly board reporting on post-acquisition performance of acquisitions against valuation.
- Completion Accounts: In accordance with the SPAs, review the completion accounts statement to ensure payment can be made within the timeframe set out in the SPA. Liaise with Group Finance Operations Director to ensure payments can be made in line with the SPA and Group cash flow.
- NRC/Earnout Calculations: As set out in the SPAs, produce a NRC statement for each earn out period, ensuring calculations are performed in line with detailed SPA conditions with full supporting schedules and reports. Provide updates to the Financial Control Team on deferred consideration adjustments required. Liaise with Group Finance Operations Director to ensure payments can be made in line with the SPA and Group cash flow.
To be considered for this role you will be a qualified accountant (ACA/ACCA/CIMA) with experience gained in a project focused role in an insurance business. Our client operates a hybrid working model and has several offices across the UK so candidates from most areas of the UK can be considered.
