We’re working with an international business that is building out its governance function as part of a significant growth phase. This is a senior role for an experienced Company Secretarial professional who has set up or materially scaled a Company Secretariat before and is comfortable creating structure, rhythm and credibility in a complex, multinational environment.
Reporting directly to the General Counsel, you’ll partner closely with the Board and senior leadership to embed fit-for-purpose governance across the group.
The role
- Take ownership of the end-to-end Company Secretariat for an international group, with responsibility for:
- Designing and embedding group-wide governance frameworks
- Establishing and running Board and Committee processes
- Owning multi-jurisdiction entity management and corporate changes
- Advising directors and senior stakeholders on governance best practice
- Coordinating and overseeing outsourced company secretarial providers
This is a genuine build role, not a caretaker position.
The profile that fits
- You’re likely already operating at Deputy Group CoSec, Head of Company Secretariat or Group Company Secretary level and have experience in:
- Setting up or re-shaping a Company Secretariat function
- Operating in complex, multinational, multi-entity environments
- Working confidently with Boards and senior stakeholders
- Balancing rigour with pragmatism in fast-moving organisations
Sector background is less important than scale, complexity and build-phase experience.
Qualifications
- CGI / ICSA qualified (or equivalent)
- Legal or accountancy background welcomed
