Heriot Brown is working with a highly respected institutional investment organisation to appoint a Legal Counsel (Investments) into its London-based legal team. This is a broad, high-quality in-house role supporting a sophisticated pensions investment platform, with exposure across private markets, infrastructure, capital markets, and strategic investment projects.
The role involves providing legal support to the Pensions Investment Management team, working closely with investment professionals, compliance, and operations to support both direct and indirect investments. While the primary focus is on private markets / indirect LP fund investments, there will also be exposure across a wide range of asset classes and strategic initiatives, including:
- Private equity and other illiquid fund investments (LP interests with US and European managers).
- Infrastructure investments, including direct acquisitions and portfolio management.
- Equity capital markets work, including appointments of external investment managers.
- Strategic investment and regulatory projects impacting the investment platform.
- Broader corporate and commercial advisory support to the investment business.
Key responsibilities include:
- Negotiating and advising on investment documentation (LPAs, side letters, SPAs, SHAs, IMAs).
- Managing and instructing external counsel, building strong panel relationships.
- Providing pragmatic, commercial legal advice to investment, compliance, and operations teams.
- Embedding legal risk management into investment processes, including committee participation.
- Monitoring and advising on regulatory developments affecting investments and financial markets.
This role will suit a lawyer who enjoys operating close to the investment decision-making process. We’re keen to speak with candidates who have:
- Strong experience in private funds / private markets (LP investments, side letters, fund docs).
- Exposure to infrastructure, private equity, or alternative investments.
- Experience gained in private practice and/or in-house within financial services or asset management.
- A commercial, solutions-focused mindset with the confidence to engage senior stakeholders.
- Excellent drafting, negotiation, and project management skills.
