Heriot Brown is working with a large international financial services group on an opportunity for a Legal Counsel to join their London team. This role sits within a specialist function supporting investment management, capital markets activity, and alternative risk transfer, offering broad exposure across funds, structured products and cross-border transactions.
The Role
- You’ll work closely with investment, structuring and capital markets teams across Europe and the US, advising on a wide range of activities.
- The work will include:
- Supporting the launch, structuring and governance of investment funds, including alternative strategies
- Advising on capital markets transactions, including structured deals and risk-transfer products
- Drafting, negotiating and overseeing documentation across investment, trading and capital markets activity
- Helping the business navigate UK, EU and US regulatory frameworks (MiFID, AIFMD, broker/dealer requirements, investment adviser rules)
- Managing multi-jurisdictional legal issues and coordinating with external counsel
- Providing input on governance, risk management and regulatory change affecting investment and capital markets operations
- Working with colleagues globally on projects, new initiatives and business expansion plans
- Delivering training and guidance to the business on legal and regulatory developments
This is a varied role with consistent exposure to senior stakeholders and complex cross-border matters.
About You
- The ideal candidate will bring:
- At least 4 years’ PQE in asset management, capital markets, structured products or financial regulation
- Strong experience with cross-border transactions and multi-jurisdictional matters
- Familiarity with regulatory frameworks such as MiFID, AIFMD, or US investment adviser/securities rules
- Excellent drafting and negotiation skills, and the ability to manage complex transactional work
- Confidence operating in a large, matrixed organisation and partnering with teams across different regions
- A proactive, solutions-focused mindset and the ability to communicate clearly with non-lawyers
- Insurance sector exposure is helpful but not essential; they’re open to candidates from private practice or another in-house financial institution.
