We’re looking for an experienced Governance & Compliance Services (GCS) Manager who’s ready to take ownership of high‑quality governance and company secretarial work while helping shape the future of our growing GCS team. This is a hands‑on role with plenty of scope: technical challenge, team leadership, and the chance to streamline and elevate how we deliver our services.
Key Responsibilities
- Lead on drafting and reviewing corporate share restructuring documents, including share redesignations, subdivisions, transfers, allotments, and updates to articles of association.
- Prepare and review board minutes for the approval of accounts and dividends.
- Manage our annual company secretarial service packages - including complex confirmation statements, full register maintenance using Diligent Entities, and monitoring share ownership changes.
- Complete detailed and technically complex PSC reviews.
- Support the growth of GCS services by refining workflows, improving processes, and delegating effectively across the team.
- Play an active role in developing the team - coaching, mentoring, overseeing workload allocation, and providing technical guidance to Associates, Assistants and Executives.
- Research technical matters, produce practical guidance notes, and draft internal articles.
- Quote for your own work, manage invoicing, and complete specialist WIP reviews.
- Assist in delivering internal governance and company secretarial training sessions.
- Work closely with the Head of GCS on technical queries and ad‑hoc requests.
What We’re Looking For
- UK law graduate or candidate with equivalent relevant experience.
- Associate (ACG) of the Chartered Governance Institute UK & Ireland - or working towards qualification.
- Experience working in professional services.
- Proven management or team‑leading experience.
- A proactive mindset, strong attention to detail, and a collaborative approach.
- Confident communicator who can engage at all levels and approach work with commercial awareness.
- Strong working knowledge of Diligent Entities.
