About the Company – We are partnered with a FTSE100 Company that operates in multiple countries globally seeking a Senior Assistant Company Secretary. This role is expansive and is responsible for delivering a first-class service across governance and company secretarial requirements for this institution. The successful candidate will provide robust, timely, and professional support to the Company Secretary and work closely with senior management and the Board.
About the Role – Key Responsibilities:
- Board Support: Assist in managing the annual programme of Board and Committee meetings, including drafting agendas and papers, and supporting the induction and appointment of new directors.
- Corporate Governance: Ensure compliance with listing obligations, maintain accurate insider lists, and draft stock exchange announcements. Contribute to the Corporate Governance Report and Directors’ report in the annual report.
- Share Registration: Maintain accurate records relating to share capital and act as the main point of contact with registrars.
- Additional Responsibilities: Administer non-UK subsidiaries, ensure Companies Act compliance for UK subsidiaries, and assist on corporate projects such as acquisitions and restructurings.
Qualifications – Qualifications and Experience:
- At least 5 years’ experience in a Corporate Secretariat function, including 2 years with a UK listed plc.
- Knowledge of the UK Companies Act, UK Corporate Governance Code, Listing Rules, Disclosure Guidance and Transparency Rules, and Market Abuse Regulation.
Required Skills – Competencies:
- Ability to manage a diverse workload independently and prioritise in a fast-paced environment.
- Strong ownership and urgency in handling tasks.
- Excellent drafting skills and attention to detail.
