Job Overview: Be part of a dynamic Corporate Secretariat team supporting a global organisation with a complex subsidiary structure. This is a fantastic opportunity to gain exposure to UK and US listed company governance, contribute to high-impact projects, and work closely with senior stakeholders across the business.
Contract Details
- Contract Length: 12 months (potential to extend)
- Location: London Paddington (Hybrid – 2 days per week onsite)
Key Responsibilities
- Support corporate governance for the Group, including insider list maintenance, stock exchange announcements, and EDGAR filings.
- Draft sections of the Annual Report and assist in delivering the AGM.
- Ensure compliance with UK and US listing obligations.
- Prepare board and committee papers for the Group Board and Nominations & Governance Committee.
- Maintain director and executive shareholding records and coordinate bi-annual declarations.
- Manage governance systems (Blueprint, Diligent) and maintain the Group’s legal structure chart.
- Support subsidiary board meetings, filings, and ad hoc corporate projects (e.g., restructurings, acquisitions).
Key Requirements
- Company secretarial experience in a UK-listed PLC (international and complex group structure preferred).
- CGI-qualified (UK) with strong technical knowledge of UK corporate governance.
- Experience with governance systems such as Blueprint and Diligent.
- Familiarity with UK and US listing requirements (US experience desirable but not essential).
- Strong written and verbal communication skills, with the ability to engage senior stakeholders.
- Detail-oriented with excellent organisational and project management skills.
- Proactive team player with a collaborative mindset.
