Haggerty Jaques is delighted to be exclusively retained by global engineering and manufacturing giant Komatsu to recruit a Governance Manager into its UK-based Legal team. 

\\n\\n

The Business

Established more than a century ago in Japan, Komatsu is a leading global engineer, manufacturer, seller, and service/maintenance provider of heavy equipment, technology, and services for the mining, construction, and forestry industries.  

\\n\\n

This role is within Komatsu Mining Technologies which globally provides mining and technology solutions.   

\\n\\n

The Opportunity 

\\n\\n

Based from the Bolton office and working as a member of the UK-based KMT International Mining Legal team, you will advise, guide and support a number of the Group’s businesses on a broad range of corporate governance, company secretarial, and compliance projects.  

\\n\\n

This role will involve you liaising with international stakeholders across the organisation, including at the very highest senior executive level.   

\\n\\n

You can expect a diverse and fast-paced role including the following types of UK and international work and projects: 

\\n\\n

  • Performing UK-related company secretarial tasks for the UK entities and oversight of the UK’s direct subsidiaries and branches including minuting of quarterly board meetings, shareholder resolutions and annual filings. 
  • \\n\\t

  • Liaising with your international company secretarial counterparts to ensure international entities meet their corporate compliance obligations relevant to their jurisdictions. 
  • \\n\\t

  • Facilitating annual governance meetings, board meetings or compliance meetings for multiple entities as required by Komatsu.  
  • \\n\\t

  • Managing various compliance projects for various businesses and providing monitoring and support of compliance activities from those projects. 
  • \\n\\t

  • Monitoring and supporting regulatory compliance of various businesses, including assisting with annual compliance statements relating to Modern Slavery, Tax Strategy Statement and Reporting on Payment Practices Performance. 
  • \\n\\t

  • Assisting the business with fulfilling compliance obligations, including sanctions regulations, import/export and trade compliance. 
  • \\n\\t

  • Managing internal approval and due diligence processes for various global group policies. 
  • \\n\\t

  • Managing Employer Liability claims.  
  • \\n\\t

  • Managing NDAs. 
  • \\n\\t

  • Providing information and training sessions to staff and timely updates about changes to legislation.  
  • \\n\\t

  • Assisting with global projects such as the acquisition of new businesses or internal re-structuring.    
  • \\n\\t

  • Identifying risks for the business and implementing strategies to manage and mitigate such risks.

This is a team in which everyone rolls up their sleeves to get the job done and therefore the team is looking for someone who is happy to get involved in and manage a range of different matters –  from smaller administrative tasks to much larger strategic governance and compliance projects.

The Ideal Candidate

The team is looking for a calm and unflappable governance and compliance professional to project-manage and take the lead on governance matters, incorporating entity governance, global policy compliance and regulatory compliance, across a variety of businesses that the International Legal Team supports.   

\\n\\n

The ideal person is someone who embraces variety and is not fazed by the unknown. Having the natural inclination to take ownership of your work and to demonstrate a ‘can-do’ attitude is key to this role.  

\\n\\n

Although the role requires experience of handling company secretarial matters, the business does not require a fully qualified company secretary but rather an individual with a broad range of company secretarial, compliance and governance skills and experience.  

\\n\\n

This would be the perfect opportunity for an individual who has been working within a governance and compliance function for some time but is looking for wider-ranging challenges and autonomy within an international business.
