The Role

This role requires a Professional Support Lawyer to support the team on a permanent basis, helping to implement the team’s knowledge strategy and projects to support the team’s knowledge needs. The role will involve monitoring developments in the legal and business environment to keep both the team and its clients up to date; providing legal and practical expertise to support and grow the team’s practice; creating, developing and managing the team’s collection of forms, precedents and research materials; organising, designing and delivering team training; and providing other support as needed.

Key Areas Of Coverage

  • Fund Formation – structure and establish investment funds, both domestically and internationally, for some of the largest and most prestigious real estate fund managers in the industry.
  • Platform Investment & GP Stakes – structure and establish manager platforms for groups of individuals and their financial backers, including facilitating GP stakes investments and advising on optimal tax and regulatory structure.
  • Joint Ventures and Programmatic Partnerships – structure strategic joint ventures and programmatic partnerships, separate accounts, segregated mandates for investment vehicles between managers and their investors, including UK and cross-border agreements, governance mechanics, and exit provisions.
  • Carried Interest and Co-investment Plans – advise fund manager houses on carried interest and other incentive plans and co-investment arrangements.
  • Secondaries – routinely act for GPs on secondaries transactions, including full GP-led secondaries such as continuation funds, fund recapitalisations and preferred equity transactions.
  • M&A – structure, negotiate and consummate complex international and domestic acquisitions, sales of strategic assets and complex recapitalisation transactions for listed, unlisted, controlled and privately-owned companies in Europe.

Responsibilities

Knowledge Strategy & Innovation

  • Work with the team to regularly assess the knowledge needs of the team.
  • Collaborate with the innovation function of GT to help develop and implement both internal and client-facing technologies for the practice area.

Client-Facing Initiatives

  • Support the team and Practice Group Counsel with client-facing knowledge initiatives, including thought leadership pieces, seminars, and workshops.

Thought Leadership

  • Write or help coordinate the writing of articles for publication, liaising with other teams and Practice Group Counsel to identify opportunities for external dissemination.
  • Monitor and keep the team informed about relevant developments and trends in law, case law, regulations and market practice.
  • Proactively identify legal, policy or business developments of potential interest to the team.

Lawyer Training & Technical Expertise

  • Identify practice-related training needs and assist with meeting those needs.
  • Help develop and deliver training for the team on practice updates, know-how briefings and assist them with locating practice-related internal and external knowledge.

Drafting, Maintaining & Organising Precedents, Templates, Standard Forms, Practice Notes and Process Maps

  • Work with the team to develop and maintain market-leading versions of the above plus guidance notes across key areas of focus.
  • Maintain other practice-related knowledge resources, including England and Wales law-governed standard forms, accompanying notes, best practice notes, how-to memos, legal research documents and other useful materials.

Other

  • Provide other knowledge support to the team as may be assigned.
  • Participate in regular team meetings.

Experience, Skills and Personal Attributes

  • Experience gained at a top-tier law firm as a qualified lawyer, ideally with exposure to private equity, real estate funds or corporate transactions.
  • Experience in drafting and negotiating corporate transaction documentation and/or funds and joint venture documentation.
  • Demonstrated interest in knowledge management and training.
  • PSL experience is desirable but not essential.
  • Excellent drafting, research and organisational skills.
  • Ability to work independently and proactively with senior stakeholders.
  • High professional standards with a passion for delivering a quality product.
  • Well-developed organisation and communication skills.Understanding of different learning processes and methods of training.
  • Effective interpersonal skills and the ability to interact with people at all levels.

Qualifications

  • Admitted to practice as a solicitor or barrister in England and Wales.
  • Undergraduate degree achieving a minimum of a 2:1 or equivalent.
