This is a unique opportunity to work at the forefront of the leveraged finance market, advising on some of the most complex and high‑profile transactions globally.

The Role
As a Leveraged Finance Associate, you will join high‑performing, fast‑growing, and entrepreneurial team. The practice advises across the full range of financing structures, with a particular focus on leveraged buyouts, corporate acquisition finance, infrastructure finance, and recapitalisations.
You will gain early responsibility and be given exposure to some of the most high‑profile and cutting‑edge transactions in the market. Typical responsibilities will include:
- Acting for financial sponsors and private equity firms on leveraged buyouts and portfolio company financings.
- Advising leading investment banks, direct lenders, and institutional investors on arranger‑led and unitranche financings.
- Drafting, reviewing, and negotiating:
- Commitment papers and mandate letters
- Loan agreements (including TLBs, RCFs, bridge facilities)
- Intercreditor agreements and security documentation
- Coordinating all aspects of deal execution:
- Managing the conditions precedent process
- Running transaction closings across multiple jurisdictions
- Liaising with borrowers, lenders, and opposing counsel
- Supporting partners and senior lawyers in structuring innovative financing solutions for complex, cross‑border deals.
- Building strong client relationships and taking an active role in business development, including attending pitches, client events, and contributing to thought leadership.
From the outset, you will benefit from direct client contact, a high degree of responsibility, and regular exposure to senior stakeholders, both within the firm and externally.
Person Specification
The firm is seeking ambitious and technically strong Associates who are motivated to develop their careers in a Tier 1 environment. The successful candidate will likely demonstrate:
- PQE: 1–3 years’ post‑qualification experience in leveraged finance (or a closely related area) gained at a leading London firm or another major common law jurisdiction. Exceptional candidates outside of this PQE range will also be considered.
Technical expertise:
- Solid understanding of leveraged loan products (TLB, unitranche, RCFs) and highly leveraged capital structures.
- Familiarity with financial sponsor‑backed transactions and awareness of how private equity houses operate across the investment cycle.
- Confidence in drafting and negotiating loan documentation, including commitment papers and intercreditor agreements.
- Desirable experience: Exposure to real estate finance and/or restructuring would be advantageous but is not essential.
- Execution skills: Experience managing transaction execution, including conditions precedent and closings, often under tight deadlines.
- Commercial mindset: Strong analytical skills and an ability to translate legal frameworks into commercial advice for demanding and sophisticated clients.
- Personal attributes:
- Resilience and ability to perform under pressure in a fast‑paced environment.
- Excellent communication skills and a proactive approach to client interaction.
- Team‑oriented and collaborative, but also capable of working independently and taking initiative.
