YOUR IMPACT
We are looking for a qualified lawyer to join our Securities Financing Transactions (\”SFT\”) Legal team, which is part of the Global Banking & Markets (Public) Legal team. The role will be based in London and will involve providing both transactional and advisory support for the short term interest rate market making and treasury execution desks as well as our agency lending and prime brokerage securities lending businesses.
The SFT Legal team covers a full spectrum of products associated with securities lending and financing, in particular transactions in the form of repo, securities lending, derivatives as well as unsecured lending. The SFT Legal team advises on the structuring and execution of transactions, helps the firm navigate legal and regulatory change and advises on all aspects of legal and reputational risk.
The SFT Legal team work with a broad range of stakeholders, including the Prime Services business, multiple trading and structuring desks, Compliance, Operations, Credit and Risk.
The role sits within a broader Prime Services & SFT Legal team of nine permanent members, split between London and Birmingham.
RESPONSIBILITIES
- Advising on structuring and documentation of repo and securities lending as well as related security arrangements.
- Advising on structuring and documentation of capital and credit reducing structures such as third party guarantees and master netting arrangements.
- Advising on structuring and documentation of synthetic financing transactions through derivatives under an ISDA master agreement.
- Assisting with the negotiation and drafting of transactional documents, including coordination with, and management of external counsel.
- Advising on GMRA and GMSLA negotiations led by a separate negotiation team.
- Obtaining and reviewing netting and collateral enforceability opinions covering primarily European and Emerging Market jurisdictions.
- Representing Goldman Sachs and participating in ICMA/ISLA industry associations in relation to developments in the cash/securities lending market.
- Advising on the implementation of and ongoing compliance with key relevant UK and EU regulations or associated obligations.
SKILLS, EXPERIENCE AND QUALIFICATIONS
- Strong educational background.
- Qualification as a lawyer, preferably in the EU or the UK (or similar).
- At least four years post qualification relevant experience in a law firm or in-house in a comparable institution.
- Familiarity with industry documentation for derivatives (ISDA), repo (GMRA) and stock lending (GMSLA) transactions preferred.
- Ability to apply legal concepts to complex trading scenarios and explain them in an accessible way.
- Excellent negotiation skills and communication skills, both oral and written.
- Personable and confident with ability to interact well directly with the business teams.
- Team oriented, with the ability to work within a collegiate environment with multiple stakeholders across different locations.
- Ability to prioritise work effectively, be pro-active in a challenging business environment and to respond to client demands in a timely manner.
