YOUR IMPACT

This role is for a qualified/part-qualified Chartered Company Secretary to support the Goldman Sachs EMEA Corporate Governance Team (CGT) based in Birmingham, covering UK and overseas entities, including regulated UK companies and Irish-regulated companies. The role involves corporate administration, board and committee support, and compliance tasks.

This position offers the chance to develop expertise in corporate duties and governance, working within a professional team and liaising across various firm departments. Goldman Sachs is expanding its presence in Birmingham, providing a dynamic, collaborative, and sustainable workplace environment.

RESPONSIBILITIES

  • Providing company secretarial services, including preparing documentation and attending board and committee meetings.
  • Coordinating with divisions like Risk, Compliance, and Legal to ensure smooth governance processes.
  • Handling corporate transactions such as director changes, account approvals, and entity establishment or closure.
  • Maintaining accurate records, including filings with Companies House, PSC register, and constitutional changes.
  • Managing entity and director data on internal databases and validating information regularly.
  • Responding to management information requests, KYC inquiries, and regulatory reports.
  • Providing certificates, signing authorities, and advising on powers of attorney and document execution.
  • Monitoring emerging corporate governance developments and implementing improvements.
  • Engaging with senior stakeholders internally and externally, including counsel and notaries.
  • Enhancing team efficiency through process improvements, policy development, and best practice sharing.

SKILLS / EXPERIENCE

  • Qualified/Part Qualified Chartered Secretary (ACIS or FCIS).
  • Experience in board/committee meeting logistics, including agenda setting and minute-taking.
  • Entity management experience, managing multiple entities and secretarial practices.
  • Proficiency with Diligent (Blueprint, BoardBooks), Companies House e-filing, and online resources.
  • Excellent organizational skills and attention to detail.
  • Ability to work independently, meet deadlines, and handle pressure.
  • Strong interpersonal and communication skills.
  • Enthusiasm, flexibility, proactive approach, and interest in company secretarial matters and GS business.
  • Experience in financial services is advantageous but not essential if relevant experience is demonstrated.
