Role Overview
We are looking for a CSA to join our team. In your role as Company Secretarial Assistant (CSA) you will primarily assist the Assistant Company Secretaries (ACS) in attending to the various company secretarial duties required for a listed company. You will be part of a small and professional head office team and it is essential you have a flexible and professional approach and be willing to take on a wide variety of tasks, including general administration in support of the Legal and Co Sec department as well as ad hoc projects as necessary. The role offers excellent developmental and career prospects. You will need to be based a reasonable commute away from our Basingstoke office as you will need to be in the office twice per week (Tues & Weds).
You Will
- Assist with the Group’s share option and share award schemes’ grants and vestings administration, to include dealing with the Company’s brokers and filing the necessary HMRC returns.
- Maintain the statutory records for the Company and its UK companies and attend to Companies House formalities.
- Co-ordinate the update of global directorships for the Group subsidiaries as necessary in line with Group policy.
- Maintain the Group’s structure chart and Group company database on Blueprint ensuring that subsidiary companies’ statutory documents are filed electronically centrally and work with Group Tax to assist with the completion of the Group’s Business Simplification Plan.
- Administer and co-ordinate signature and document legalisation requests from Group subsidiaries.
- Attend to routine UK subsidiary Board minutes and provide assistance with non-UK subsidiaries.
- Assist with ensuring the Group’s compliance with legislation and corporate governance requirements (to include companies legislation, the Listing and Disclosure rules, the UK Corporate Governance Code).
- Liaise with individual shareholders and the Registrar on routine matters.
- Administer routine stock exchange compliance matters and RNS announcements.
- Assist with the production of the Annual Reports and ancillary documents and make all subsequent filings as necessary.
- Assist with the documentation and venue preparations for the Company’s AGM and subsequent filings and announcements.
- Maintaining the department’s annual schedule of events.
- Assistance with the collation and preparation of Board packs.
- Assist with the content of the Genus plc website, liaising with the hosting agency as necessary.
- Assist with the maintenance of the Group’s insider lists and clearance to deal procedure.
Requirements
- Fully or partly CSQS qualified with experience of operating in the company secretariat of a listed company.
- The role requires a proactive individual who is able to work on their own initiative with attention to detail, is enthusiastic and has the commitment to tackle a wide range of tasks and projects. The individual must be confidential and discreet, able to and comfortable at communicating with all levels of the business and have excellent time management skills.
