Overview
We are looking for an Assistant Company Secretary to join our team at Genus PLC. This role is based in our Basingstoke office twice per week, with the rest of the time working from home; you will need to be based within a reasonable commute from Basingstoke.
Responsibilities
- Ensure the routine maintenance of statutory records for Genus plc and its UK companies and attend to filing formalities as appropriate.
- Support the development, roll-out, and ongoing compliance with a Global directorships policy for Group subsidiaries as necessary.
- Work with Group Tax and other stakeholders to assist with the incorporation of new legal entities and the elimination of entities in line with the Group’s Business Simplification Plan.
- Ensure the Group’s structure chart and Group subsidiary database on GEMS are maintained and routinely validated and updated; coordinate with finance, legal and business contacts for each entity to ensure local compliance requirements are understood, monitored, and completed annually, with subsidiary companies’ statutory documents maintained centrally.
- Oversee the preparation and approval of UK statutory accounts, along with other routine UK subsidiary Board approvals.
- Oversee the administration and coordination of signature and document legalisation requests for Group subsidiaries, and support contract managers to maintain an appropriate matrix of delegated signature authorities for UK subsidiary companies.
- Provide guidance and support to the CSA in fulfilling their duties and developing their role.
Requirements
- Degree preferred (law, business, finance).
- CGI and CSQS certifications.
- Experience of working in a UK-listed plc required, including experience administering employee and executive share plans.
