Role Overview
Reporting to the Head of Corporate Services based in the UK, the successful candidate will be a key member of the team in Dublin who provide a wide range of corporate and structured financial services to clients with an Ireland entity base. This role will interact with the most senior individuals across the group and within a diverse client base, in a hands-on capacity. The role holder will lead a function providing company secretarial and administration services to a range of clients and structured finance, special purpose vehicles (SPVs) and other corporate entities both regulated and non-regulated.
The successful candidate will bring innovative views of best practice to the Company Secretarial and the wider Corporate Services offering. They will have a commercial "can do" attitude to problem solving, alongside the ability to drive new business at pace.
- Liaise with external parties, such as legal and tax advisors, investment managers, trustees, arranging banks and others in order to achieve client objectives.
- Take ownership and responsibility for board and committee paper preparation, attend meetings and produce high quality minutes for clients.
- Provide advice as required on Irish company law, corporate governance and other mandatory/voluntary best practice requirements to the Group board and to client boards.
- Review transaction documentation for client companies and gain a thorough understanding of the structures and the services required.
- Provide consistent service through a range of both scheduled tasks and ad-hoc tasks on general company secretarial administration including preparation of Company Registration Office (CRO) filings, UBO reviews and BOR maintenance, client onboarding, drafting of minutes, maintenance of minute books, delivery of documents to the CRO, updating the company secretarial system with client data, building, and issuing registers.
- Contribute and support the successful running of the Dublin office, including assisting with billing, certifying documents, post etc.
- It is also expected that the post-holder will be willing and able to be appointed from time to time as a director of companies where there is provision of corporate services.
- Help develop and grow relationships with existing and potential clients as well as other market professionals.
- Assist with business development for the office including attendance at networking events; pitches for business and liaising with colleagues in other offices in respect of joint mandates.
- Be an ambassador, promoting and enhancing the company's brand and reputation.
- Take responsibility for helping to deliver the Irish Corporate Services budget.
- Mitigate operational risk by ensuring all financial, regulatory, tax and legal requirements are met in a timely manner.
- Implement processes and procedures to ensure a high level of client satisfaction; an efficient working environment and the meeting and exceeding of all deliverables under the terms of our SLAs.
Essential Knowledge, Skills, Experience
- University degree and ICSA qualified or holding a relevant professional qualification with 5 years plus experience of providing Corporate Services.
- Intellectually curious, independent thinker and problem solver who 'gets things done'.
- Excellent communication and presentation skills.
- Experience and proven track record of multiple stakeholder management.
- Ability to drive growth within the Corporate Services business and to coach, lead and help motivate the team to support that growth over time.
- Comfortable working in a small office and appreciative of the demands that can place on all team members.
- Diligent, with excellent attention to detail.
