Job Description Summary
GE HealthCare is a leading global medical technology and digital solutions innovator with over 100 years of healthcare industry experience. Our Pharmaceutical Diagnostics (PDx) business is the number one global supplier of contrast media and a strong player in molecular imaging agents used to enhance medical imaging exams. We are now hiring for a Legal Counsel EMEA PDx who will provide legal advice on all aspects of the PDx business, with a dual focus: (i) structuring and negotiating a variety of strategic commercial contracts with PDx’s key customers and suppliers across EMEA; and (ii) supporting projects and business development activities including licensing and acquisitions. These transactions and contracts typically include a wide range of product offerings related to the full lifecycle of our pharma products. Acting as a business partner, the Legal Counsel is expected to provide advice to business leaders on opportunities and direction, and to advise team members on day-to-day legal issues. The position reports to the Head of Legal EMEA and works closely with the General Counsel.

Responsibilities
Job Description
EMEA Commercial Matters (50%)
- Working with the Business’ commercial team for EMEA as a business partner to help identify opportunities to drive business forward and support growth opportunities and initiatives.
- Draft and review a range of agreements, for example Sales & Supply agreements, Sourcing agreements, Contract Manufacturing Agreements, Clinical Development and Clinical research agreements, Co-development and licensing agreements, service contracts in accordance with the business’ policies and procedures.
- Review advertising and promotional material.
- The Legal Counsel will:
- Work cross functionally to develop winning strategies on PDx contractual agreements.
- Ensure contractual rigor.
- Draft, review, and negotiate strategic and commercial business agreements and transactions with PDx key strategic customers (e.g. GPOs, wholesalers, contractors, etc.) and suppliers.
- Provide regulatory and Pharma compliance advice (in conjunction with the Regulatory and Compliance specialist areas in PDx) in relation to Pharma compliance and regulatory matters; in conjunction with legal colleagues, support the management of EMEA disputes and litigation.
- Support the development and maintenance of a strong culture of compliance including supporting Compliance projects and trainings, including support to the compliance specialists on forums such as the Compliance Review Board.
- Conduct impactful trainings in relation to legal, contractual, regulatory and Pharma compliance matters.
- Help manage relationships with government authorities as needed (e.g., corporate and business licenses, pharmaceutical authorities, ministries of health), in close partnership with the government affairs team.
- Provide specialist advice on local law across the Region (in alignment with local colleagues where available) on public procurement laws, competition laws and integrity laws (anti-bribery and anti-corruption), anti-money laundering and anti-terrorist financing laws, in close partnership with global specialists.
- Support PDx’s specialist on the screening and onboarding of third-party vendors / suppliers / partners, including conducting onboarding interviews.
- Support, as applicable, the Business and the Region in internal and external audits and follow-up items resulting from such audits.
- Support the Business on all aspects of distributor relationships with distributors across the Region, including renewal of distribution agreements, training for management and employees of distributors, management of issues with and termination of distributors.
Projects & Business Development Matters (50%)
- Assist in due diligence, review and negotiation of global business development/M&A, in- or out-licensing opportunities, strategic partnerships and collaborations.
- Draft and review a range of documents including engagement letters, letters of intent, confidentiality agreements and S&P agreements.
- Support post-completion integration activities such as contract execution, corporate registrations, transfer of IP rights, transitional service agreements and regulatory issues.
- Advisory – advise on fiduciary duties, shareholder rights, antitrust compliance and potential conflicts.
General
- Apply combined business and legal judgment to proposed deals, relationships and other issues requiring legal or compliance attention.
- Manage outside counsel; ensure clear instructions, timely performance and well-managed budgets.
- Ensure project governance by using appropriate mechanisms such as meetings, work streams and team calls to regularly govern the project and surface issues, make decisions and escalations to keep activities on track and targets met.
Qualifications
- Qualified lawyer (JD or equivalent) with active practicing certificate or bar membership, preferably in the UK or France (dual civil law and common law qualifications a plus).
- Extensive professional experience, ideally a mix of law firm and in-house experience working on Pharma/Life Sciences transactions or business legal matters.
- Excellent verbal and written communication in English. Other EMEA languages a plus.
- Robust experience providing legal advice, negotiating contracts and closing business transactions in a highly regulated environment.
- EU competition law understanding and international commercial law.
- Experience with a range of sourcing / procurement contract types and large supply chain projects is advantageous.
- Experience in identifying and resolving legal issues quickly and effectively with ability to make on-the-spot risk calls.
