As Paralegal you will support the Legal EMEA PDX team on various aspects of the company's operations and initiatives. You will be an experienced commercial paralegal and will play a key role in supporting the EMEA legal function with a range of contract drafting and review tasks, as well as administrative tasks such as outside counsel management and corporate housekeeping. Acting as a trusted business partner, you will be expected to work at all levels of the organization with various functional and product teams.
It is essential that applicants have experience in drafting, reviewing and negotiating commercial agreements, with a particular focus on indirect market related agreements such as distribution/wholesaler/sales agent agreements in the pharmaceutical industry, as well as Power of Attorney, Non‐disclosure agreements and quality agreements. Though the Paralegal will work primarily on legal matters related to EMEA, the candidate will need to be flexible and ready to work on global matters or matters relating to other PDx regions. This position is designed for experienced career paralegals who are passionate about supporting a legal team. Key Responsibilities
- Managing the corporate housekeeping process such as powers of attorney, delegations of authority, and related guidance and training.
- Conducting commercial contract reviews (NDAs, distribution agreements, quality agreements, amendment agreements, etc.) focusing on compliance with existing templates, identifying and mitigating risks, and ensuring contractual rigor; also drafting documents based on business needs and customizing PDx contractual templates.
- Supporting the updating and harmonizing of PDx contractual templates.
- Conducting initial legal research in close alignment with the lawyers.
- Participating in and taking minutes of calls regarding matters of broader scope, and drafting update summaries in close alignment with the responsible project lead lawyer.
- Managing all types of daily correspondence to ensure timely response and appropriate prioritization.
- Educating legal and business colleagues on Legal department processes as needed.
- Performing administrative tasks to support legal operations, such as managing documentation, outside counsel management and case management (organizing files, tracking deadlines, preparing reporting documents, etc.).
Required Qualifications
- Excellent verbal and written communication in English (with French, German, or another EMEA language a plus).
- Minimum of 2 years experienced administrative support in a Legal environment of a pharmaceutical company or Life Sciences team in a law firm, supporting the activities of a Legal department/team or Legal manager.
- Strong time management skills. Demonstrated experience working on multiple projects with more than one team member simultaneously, adjusting to changing priorities and following through on all assignments.
- Strong personal integrity and commitment to operating ethically and professionally.
- Strong interpersonal skills and demonstrated team player ability.
- Must be able to maintain security of highly confidential information—discretion and confidentiality required.
