Key Responsibilities:

  • Board Cycle Management: Own the end-to-end Board cycle, including forward planning, agendas, digital packs, and minute-taking
  • Governance Oversight: Maintain the annual governance calendar to ensure all deadlines for papers and approvals are met
  • Action Tracking: Maintain decision logs and action trackers, chasing owners to provide clear status updates to the Chair/COO
  • Strategic Coordination: Act as the central point of contact between the Board, Directors, and Partners
  • Executive Support: Coordinate the preparation of high-level briefing materials, including business cases and presentations
  • Strategy & Offsites: Provide governance support for Board/Partner strategy sessions and offsites, including facilitation and follow-up
  • Continuous Improvement: Contribute to the evolution of governance processes and maintain records
  • Communication: Support the clear communication of Board decisions to all relevant senior stakeholders

About You:

  • Experienced: Prior In-House experience in Company Secretary roles
  • Governance Expert: A strong understanding of Board responsibilities and governance frameworks
  • Diplomatic: The ability to manage sensitive situations with confidence, diplomacy, and absolute integrity
  • Organised: Highly detail-oriented with the ability to manage multiple priorities under pressure
