We are currently searching for a talented, 4-6 year Corporate M&A Associate (with a focus on Public M&A) to join our market-leading practice at Fried Frank. This role will involve managing and contributing to the full lifecycle of complex public and private M&A transactions - from deal structuring to drafting transaction documents and facilitating closings.
Key Responsibilities
β’ Be Familiar with and advise on the application of the UK Listing Rules and the UK Takeover Code.
β’ Draft Offer Documents for UK Public Transactions and Circulars for UK Listed Companies.
β’ Draft and negotiate key corporate documents - including share purchase agreements, disclosure schedules, NDAs, joint venture agreements, and restructuring plans.
β’ Collaborate across disciplines to deliver integrated client advice.
β’ Conduct legal and commercial diligence: analyse risks, and summarise findings for internal teams and clients.
β’ Liaise with internal and external stakeholders, including partners, clients, and third-party advisors, maintaining momentum across complex transactions.
Experience
β’ Qualified solicitor with 4β6 years PQE in corporate M&A.
β’ Solid track record in public in particular, and also private M&A transactions, with exposure to public takeovers, joint ventures, and restructuring work.
β’ Strong knowledge of TakeOver Code and Listing Rules.
β’ Strong drafting, analytical, and negotiation skills, and an ability to manage multiple workstreams efficiently.
β’ Commercial awareness, proactive problem-solving, and team-oriented mindset.
β’ Commitment to professional growth and readiness to take initiative.
β’ Demonstrated interest in cross-border work and willingness to adapt to evolving deal dynamics.
β’ Engagement in mentorship, training, and ability to contribute to a collaborative firm culture.
