Your mission is to protect and strengthen our commercial position through disciplined, practical contract management under Australian law. We operate in technology, software, AI, and product development, working with suppliers, contractors, developers, and commercial partners. We need someone who understands Australian legal frameworks and can ensure our agreements are commercially sound — particularly around IP ownership, licensing, royalties, liability, and enforceability.
You will:
- Review and advise on supplier and contractor agreements under Australian law
- Draft and refine project contracts (software development, consulting, technology partnerships)
- Ensure clear and enforceable IP ownership, licensing, and moral rights provisions
- Structure and review royalty arrangements and ongoing revenue participation models
- Advise on confidentiality, restraint, limitation of liability, indemnities, and risk allocation
- Ensure compliance with Australian Consumer Law and relevant state-based requirements
- Identify commercial and legal risks early and propose practical mitigations
- Standardise contract templates to improve speed and consistency
- Support negotiations with commercially grounded, solution-focused advice
- Maintain a clean contract register, renewal tracking, and variation documentation

We are a Sydney-based IoT engineering powerhouse. We are currently in a high-velocity growth phase, ruthlessly integrating AI and automation into our core operations to scale. We move fast, we skip fluff, and we value clinical execution.
This is an Expression of Interest for a fast-moving project set to launch within the next few days or weeks. We are vetting high-caliber talent now to ensure we can hit the ground running. The work environment is dynamic: some tasks are highly prescriptive (you will be given crystal-clear checkboxes and vertical logic to follow), while others are open-ended, where we rely on your architectural ingenuity and problem-solving approaches.
We have a strong preference for 'Superhuman' candidates—those who leverage AI and automation to deliver 10x output compared to manual operators. Non-Negotiable Deliverable: For every task, you must produce a 1-page 'Tech Sheet.' This document must list the specific tools, methods, and logic used so that the product can be maintained internally once handed off.
You will be integrated into our wider team and may collaborate with other specialized Upworkers. Communication occurs via a shared Slack environment. Every task is governed by a strict 'Definition of Done' (DoD). You will be asked to demonstrate 'Done' according to these criteria. Your work will be tested at multiple levels by our internal team; if it does not meet our clinical standards, it will be handed back for revisions until it is flawless.
