About the role

The Head of Brokerage, Product & Commercial Legal Department will lead legal support of brokerage and commercial agreements, product launches, client‑facing documentation, marketing materials, client complaints, GDPR/data and sanctions‑related scenarios, Mi FID‑related matters, disclosures, prospectus‑related work, and repeatable legal standards for the business.

This role is for a senior in‑house lawyer who can combine financial services expertise, practical business judgement, leadership, speed of execution and the ability to build legal systems rather than only solve individual tasks.

Responsibilities

  • Working closely with the CLO - Lead, the legal support of the Company’s brokerage, product, commercial, client‑facing, and marketing activities.
  • Own the department portfolio, priorities, workload allocation, quality control, escalation discipline and legal standards.
  • Act as the main escalation point for complex, high‑risk, time‑sensitive or strategically important matters within the department perimeter.
  • Provide senior legal assessment of new products, client journeys, sales channels, distribution models, marketing campaigns, client communications and commercial initiatives.
  • Translate Mi FID II/Mi FIR, Cy SEC requirements, applicable EU financial services rules, GDPR, sanctions, DORA and other relevant regulations into practical business requirements, red flags and execution routes.
  • Lead or supervise drafting, review and negotiation of brokerage, product and commercial agreements with clients, partners, counterparties, providers, data providers, banks, payment institutions, introducing brokers, sales channels, vendors and other third parties.
  • Own the legal quality and consistency of Terms of Business, disclosures, product terms, client forms, prospectus‑related materials, website/platform wording, DISCLAIMERS and other client‑facing documentation.
  • Set the legal review framework for marketing campaigns, claims, presentations, landing pages, sales materials and other regulated communications.
  • Lead legal strategy for complex client complaints, pre‑dispute matters, reputationally sensitive cases, sanctions/restriction scenarios and asset‑unblocking matters.
  • Build and maintain scalable legal tools: templates, playbooks, standard clauses, fallback positions, checklists, decision trees and escalation rules.
  • Work closely with Product, Marketing, Sales, Compliance, Risk, Operations, Client Support, IT, Document Management, Legal Operations and senior management.
  • Manage, mentor and develop Senior and Mid Legal Counsels within the department.
  • Coordinate with external legal advisers where needed and ensure their advice is converted into practical internal standards and actions.

Qualifications

  • 10‑12+ years of relevant legal experience in a Cyprus or European Investment Firm, regulated broker, fintech company, payment institution, financial services group, or a law firm advising such clients.
  • Law degree.

Common‑law qualification/JD or civil‑law equivalent with strong exposure to common‑law drafting, international transactions and EU financial services regulation is preferred.

  • Proven experience leading legal teams or managing complex legal portfolios in a regulated financial services environment.
  • Strong expertise in brokerage, investment services, capital markets, product distribution, commercial agreements, client‑facing documentation and regulated communications.
  • Strong knowledge of Mi FID II/Mi FIR, Cy SEC requirements, applicable EU financial services regulation, GDPR, sanctions frameworks, DORA and related legal/regulatory requirements.
  • Experience supporting product launches, marketing and sales initiatives, client documentation, complaint handling and cross‑functional business projects.
  • Excellent drafting, negotiation and legal advisory skills in English; fluent Russian or other languages will be a plus.
  • Ability to provide clear, business‑oriented legal advice without lowering regulatory or legal standards.
  • Strong leadership, ownership, prioritisation, stakeholder management and communication skills.
  • Ability to build repeatable legal solutions, not only handle one‑off legal tasks.
  • Confidence working with senior management, business teams, compliance, risk, external counsel and cross‑functional stakeholders.
  • Experience with legal technology, document management tools, knowledge management, templates, playbooks or legal process improvement will be a strong advantage.
