Our client, a UK-based award-winning electronic Anti-Money Laundering (AML) and Know Your Customer (KYC) compliance platform, is seeking an experienced Corporate / Commercial Lawyer to provide interim legal support on a key corporate restructuring project.

The Role
This role will support on a corporate restructuring project involving the creation of a new group entity and the associated legal and contractual transition work. The position will report into the General Counsel and work closely with an experienced internal project team and external advisers.
The successful candidate will be responsible for preparing and progressing the legal documentation required to support the restructure. While the project will be overseen by a dedicated project manager and senior legal oversight, the role requires someone who is comfortable working independently and driving documentation forward efficiently.
Core responsibilities include:
- Preparing any agreements required to hive up the company into a new entity as part of the corporate restructure
- Drafting and updating customer terms and conditions
- Managing and preparing novations of supplier agreements (approximately 20 agreements)
- Drafting and implementing intercompany agreements
- Preparing board resolutions, board minutes and investor approvals required to support the transaction
- Advising on and assisting with the transfer of accreditations and regulatory credentials to the new entity
- Assessing the impact of the restructure on ongoing litigation conducted through MCOL
- Updating and implementing data privacy notices where required
- Supporting the legal team with any additional corporate or commercial documentation arising from the project
Ideal Candidate Profile
- 2–5 years’ PQE in a Corporate/Commercial role
- Qualified solicitor or equivalent legal professional with strong corporate and commercial experience
- Experience supporting corporate transactions, restructures, acquisitions or similar projects
- Strong drafting capability across corporate documentation, supplier agreements and commercial contracts
- Comfortable preparing governance documentation such as board minutes and resolutions
- A pragmatic corporate-commercial generalist able to operate across both disciplines
- Able to work independently and efficiently with minimal supervision
- Commercially minded and pragmatic, comfortable working within a scale-up business environment
- Agile, proactive and solutions-focused rather than overly risk-averse or rigid in approach
