We have multiple opportunities open via Flex Legal to assist our wonderful client-base with ongoing Corporate matters.
Duties Include:
- General assisting with document review and completion/closing logistics and reporting
- Reviewing commercial contracts and agreements
- Drafting board minutes, shareholder resolutions and simple agreements
- Preparing daily to-do lists and action points for transactional teams
- Ensuring that all records, both paper and electronic, are filed and maintained
- Assisting with the preparation of monthly bills, including reviewing billing guides, updating narratives, drafting billing emails/letters, and supporting the team with debt management
- Reviewing and coordinating execution of NDAs; maintaining the NDA summary log
- Coordinating powers of attorney, legal opinions etc. where needed
- Coordinating with internal and external stakeholders
- Assisting with ad-hoc projects such as data gathering, anti-trust filings etc.
- Assisting on disclosure exercises on sale-side transaction
- Assisting with due diligence, transaction management, preparing ancillary documents, managing signing and document lists, and other transactional support work
- Independently running electronic signature collection processes as part of large corporate transactions
Compliance & Record-keeping
- Ensuring AML information is up to date
- Running WorldCheck searches
- Assisting with the preparation of the firm's regulatory filings
- Assisting with the compliance monitoring programme
Corporate Governance
- Handling a wide range of company administration and post completion work, including Companies House filings, PSC registers, updating company registers and preparation of completion bibles
- Collation of conditions precedent on finance transactions
- Incorporating companies and related start-up administration
Experience Required:
- Completion of your LLB, LLM, GDL, or SQE 1
- We are looking for paralegals who have experience in Corporate
- You must be someone who is comfortable in handling this type of work and to a very good standard
- Experience with software such as Clio case management, Relativity, and Intapp
