A fast-growing marketing services business with sub £5m EBITDA is preparing for a near-term private equity transaction. The business has strong commercial momentum and a high-quality client base but requires significant finance function professionalisation to meet PE-grade standards.

The shareholders are seeking an experienced Fractional CFO to work alongside the CEO and advisors to elevate financial reporting, implement robust systems and controls, and support deal preparation and execution.

Role Summary

The Fractional CFO will take ownership of the end-to-end finance agenda, acting as a strategic partner to the CEO and a key interface with PE investors, advisors, and the board. This is a hands-on role combining strategic oversight with operational delivery, focused on introducing discipline, transparency, and insight into a previously founder-led environment. The CFO will be instrumental in producing PE-quality board packs, upgrading systems, and ensuring the business is fully prepared for diligence and post-deal ownership.

Key Responsibilities

  • Partner with the CEO to deliver a clear financial strategy aligned to growth, margin improvement, and exit objectives.
  • Provide commercial insight on pricing, client profitability, utilisation, and resourcing across retained, project, and performance-based revenues.
  • Build and embed KPIs to support decision-making across acquisition, retention, and service-line performance.
  • Lead financial readiness for a PE transaction, working closely with corporate finance, tax, legal, and FDD advisors.
  • Own forecasting, historical analysis, EBITDA and cash bridges, and act as a key management representative through diligence and management presentations.
  • Introduce PE-grade board reporting, governance, and structured investor communications.
  • Professionalise the finance function through systems implementation, strengthened controls, cashflow discipline, and development of a PE-ready finance team.

Candidate Profile

  • Experienced CFO / FD / Fractional CFO with a strong track record in PE-backed or PE-bound businesses.
  • Background in marketing services, agencies, professional services, or B2B services preferred.
  • Proven experience leading finance professionalisation, systems implementation, and reporting upgrades.
  • Hands-on deal experience, including sell-side PE processes and financial due diligence.
  • Strong commercial mindset with the ability to influence founders and non-finance stakeholders.
  • Comfortable operating in imperfect environments and building structure at pace.
