Finatal is partnering with a leading private equity-backed healthcare business poised for a significant value realisation event. With revenues of £300m and the support of a top-tier upper mid-market fund, the business is preparing for a transformational liquidity event—either an IPO or strategic sale, following a complex carve-out.

Role Overview:

Reporting to the CFO and working closely with the private equity investors and external advisors, the Project Finance Director will take end-to-end ownership of the financial workstreams related to the carve-out and transaction process. You will act as a key liaison between finance, legal, operations, and external stakeholders, ensuring readiness for the chosen exit route while maintaining strong financial integrity and governance throughout the project lifecycle.

Key Responsibilities:

  • Leading the financial carve-out process, ensuring clear separation of assets, liabilities, and reporting structures.
  • Preparing the business for IPO or trade sale, including supporting VDD (vendor due diligence), financial factbooks, and investor presentations.
  • Acting as the key finance lead with external advisors including bankers, legal counsel, and auditors.
  • Establishing clean standalone financials and ensuring accuracy and defensibility of reporting.
  • Supporting the CFO with scenario modelling, equity story development, and transaction structuring.
  • Overseeing project timelines, risk registers, and critical path delivery across all finance-related exit activities.
  • Ensuring compliance with relevant listing or buyer due diligence requirements.
  • Partnering across business functions to ensure operational readiness and execution alignment.

Qualifications and Experience:

  • A qualified accountant (ACA, ACCA, or equivalent) with significant experience in transaction finance.
  • Demonstrated track record of leading IPO or M&A processes, ideally in a carve-out context.
  • Experience in the healthcare sector, particularly multi-site or regulated environments, is highly advantageous.
  • Strong understanding of private equity value creation and exit strategies.
  • Ability to manage multiple external stakeholders and advisors under tight deadlines.
  • A highly analytical and commercial mindset, with excellent attention to detail and financial rigour.
  • A proactive, project-oriented approach with the ability to influence at board level.
