We are supporting a large-cap private equity backed software organisation undertaking a significant strategic divestiture. This is a high-impact opportunity for an experienced Carve-Out Specialist to lead the separation of a substantial SaaS business unit from its parent group and establish it as a fully operational, standalone legal entity.
This is a hands-on leadership role working closely with executive stakeholders and external advisors across legal, financial, operational, and technical workstreams.
Key Responsibilities- Lead end-to-end carve-out execution from separation planning through to Day 1 readiness and post-separation stabilisation.
- Drive the operational, legal, financial, and technical disentanglement of the business from the parent group.
- Coordinate and manage third-party advisors (legal, tax, accounting, IT, and transaction specialists).
- Establish the newco structure, including governance, legal entity setup, and operational frameworks.
- Oversee TSA (Transitional Services Agreement) design, negotiation, and exit planning.
- Ensure continuity of SaaS operations, including customer contracts, billing systems, and service delivery.
- Partner with senior leadership to define and execute separation strategy and timelines.
- Identify and mitigate risks across all carve-out workstreams.
- Support future exit readiness and value creation initiatives post-separation.
- Proven track record of leading multiple complex carve-outs and divestitures within large-scale organisations.
- Deep experience in SaaS / software business models, including recurring revenue, subscription billing, and cloud-based operations.
- Demonstrated experience setting up standalone legal entities (NewCo) following separation.
- Strong understanding of TSAs, financial separation, and operational disentanglement.
- Experience working alongside Tier 1 advisory firms (e.g. Big 4, legal advisors, investment banks).
- Ability to operate at both strategic and execution levels in a fast-paced, high-stakes environment.
- Prior experience supporting private equity-backed or exit-driven environments is highly desirable.
