The Role: Factor is seeking an experienced Director, Capital Markets to lead and deliver strategic legal and operational solutions for our financial services clients. This role sits at the intersection of law, business, operations, and technology, partnering with investment banks, asset managers, private credit funds, and other financial institutions to optimize legal processes, manage complex transactions, and drive innovation across capital markets functions. The successful candidate will act as a trusted advisor to clients, overseeing the delivery of high-value engagements while identifying opportunities to improve efficiency through process improvement, legal engineering, AI, and alternative legal service models.
Responsibilities:
- Client Leadership & Relationship Management: Serve as a senior point of contact for financial services clients across capital markets matters. Build and maintain trusted relationships with General Counsel, Heads of Legal, Business Stakeholders, and Operations leaders. Understand client objectives and develop tailored legal and operational solutions. Identify opportunities for expanded services and support business development initiatives.
- Capital Markets Expertise: Lead the delivery of large-scale capital markets projects across Debt Capital Markets (DCM), Equity Capital Markets (ECM), Structured Finance, Securitization, Derivatives and ISDA documentation, Loan and Credit Transactions, Private Credit and Leveraged Finance. Provide subject matter expertise on transaction lifecycle management, documentation, regulatory requirements, and market practice. Support clients through transaction execution, remediation, repapering, and regulatory change initiatives.
- Team Leadership: Lead multidisciplinary teams comprising lawyers, legal analysts, project managers, legal engineers, and consultants. Provide coaching, mentoring, and professional development support. Manage resource allocation and delivery quality across multiple client engagements. Foster a culture of innovation, collaboration, and continuous improvement.
- Strategic Consulting & Transformation: Advise clients on legal operating model transformation initiatives. Assess and redesign legal and operational processes to improve efficiency and scalability. Lead change management and implementation programs. Develop solutions that leverage technology, automation, and AI to enhance legal service delivery.
- Innovation & Legal Technology: Partner with Legal Engineering and Technology teams to identify automation opportunities. Support implementation of AI-enabled solutions within legal and compliance functions. Drive adoption of data-driven approaches to legal service delivery. Stay informed of emerging trends in financial regulation, legal technology, and capital markets.
- Commercial & Business Development: Contribute to proposals, pitches, and client presentations. Support revenue growth through expansion of existing client relationships. Develop thought leadership and market insights within the capital markets sector. Represent Factor at industry events, conferences, and client meetings.
Qualifications & Experience:
- Required: Bachelor's degree in Law, Finance, Business, Economics, or a related discipline. 10+ years' experience within investment banking legal functions, capital markets law firms, alternative legal service providers, financial services consulting, or in-house legal teams within financial institutions. Deep understanding of capital markets products and documentation. Strong client-facing and stakeholder management experience. Demonstrated leadership and people management capability. Experience leading complex projects and transformation initiatives.
- Preferred: Qualified lawyer (UK, US, Ireland, or other common law jurisdiction). Experience within an ALSP, Big Four consulting firm, or legal transformation environment. Exposure to legal technology, AI, and process automation. Familiarity with regulatory frameworks impacting global financial institutions.
