The Role: We’re looking for an enthusiastic and experienced Company Secretary to join our dedicated team of like-minded, high-performing governance professionals. This is a permanent, full-time opportunity to join our Legal Entity Management team dedicated to providing company secretarial support to our Tier 1 Investment Banking client. As a member of our team, you’ll be integral to our client’s Board and Committee governance function, with direct access to the client’s senior management.

We are looking for an individual who is passionate about corporate governance, continuously seeking improvement and interested in working in a fast-paced environment as part of a collaborative team. This position offers exposure to a broad scope of governance activities and the autonomy to take ownership of your workload and enhance procedures. The ideal candidate will lead by example, frequently interacting with Board directors and senior executives.

As a skilled communicator, you will be able to manage and build relationships with senior stakeholders across the organisation and deliver exceptional service to our client.

KEY RESPONSIBILITIES
  • Board / Committee matters: To provide high-quality company secretarial and governance support to the client’s boards and other executive level committees as required, ensuring meetings are effectively organised and minuted, papers are distributed in a timely manner and action items monitored to completion.
  • Governance responsibilities: These include promoting and driving consistent standards of legal entity governance and oversight in accordance with internal client models and standards; providing directors, senior management and legal entities with support and training across corporate governance matters, including in relation to relevant laws and regulations, governance practices and legal entity management; and assisting as appropriate with local, regional and global regulatory and governance projects.
  • Legal entity matters: These include maintaining corporate records and certifications; support on the application of corporate procedures and record retention as relates to governance matters and internal procedures; oversight of Diligent Entities (formerly Blueprint) to ensure data is maintained by all users to facilitate regulatory reporting; creation and maintenance of investment structure charts for company secretarial and regulatory support; regular legal entity reporting and analysis to senior management on entity population.
  • Compliance and Regulatory matters: To assist with company secretarial input for Know Your Customer (“KYC”), Anti-Money Laundering (“AML”), internal and external audit and regulatory information requests, ensuring timely responses thereto.

Essential Criteria
  • Undergraduate degree
  • Qualified chartered secretary or equivalent professional qualification in Law
  • 2 - 3 years company secretarial or Compliance/Regulatory experience, ideally within a banking or regulated financial services environment
  • Knowledge of UK, European and US regulatory environment
  • Regular client-facing experience
  • Strong minute taking skills
  • Good commercial awareness, working directly with business managers
  • Strong written and verbal communication and presentation skills
  • Strong working knowledge of Microsoft Office, particularly Excel
  • Legally eligible to work in the United Kingdom
Desirable Criteria
  • Familiarity with entity management software, such as Diligent Entities
  • Familiarity with board management software / portals (e.g. BoardVantage / Diligent Boards)
  • Experience of senior level stakeholder engagement and management, including independent non-executive directors, ideally gained within financial services
  • Exposure to Pan-European investment structures

Additional Information: As a member of an ISO Compliant center, the candidate will be required to follow the policies and procedures on Information Security Management System in place at the Center of Excellence and globally at Factor.
