Our client, an international membership organisation, is seeking an experienced governance professional to join their team for a 3 month temporary assignment (possibility of becoming permanent). In this role, you will lead and oversee all governance-related functions, ensuring that the Chief Executive, Board, Council, and President have the necessary structures and processes to effectively carry out their duties. This role is pivotal in managing governance processes, regulatory compliance, board secretariat functions, and election procedures within a professional institution.   • Start date: ASAP
  • Assignment length: 3 months (thereafter, possibility of becoming permanent)
  • Gross Pay rate (PAYE): £32.96 per hour + holiday pay (£36.94 per hour inclusive of holiday pay)
  • Location: Hybrid working – London EC1V - 3/2 days office, 2/3 days home.
  • Hours: Monday to Friday, 35 hours per week, 0900 - 1700

In this role, you will oversee and manage the governance structure, ensuring compliance with regulatory frameworks, including Charter status, Byelaws, and relevant legislation. Acting as secretary to key committees such as the Board, Council, Nominations Committee, you will provide essential governance support and ensure that all processes are conducted efficiently. A key aspect of the role involves leading and managing election processes, ensuring fairness and transparency throughout. Additionally, you will provide high-level secretariat support for Board and Council meetings, handling agenda preparation, minute-taking, and action tracking to maintain effective governance practices. Collaborating with senior leadership, you will maintain a central project management office, ensuring that key organisational projects are effectively monitored and reported. You will also support the President in fulfilling their duties, including scheduling engagements and overseeing official visits. Finally, you will work closely with the Company Secretary (Finance Director) to ensure all compliance and reporting requirements are met, upholding the organisation’s commitment to regulatory excellence.

The ideal candidate will meet the following requirements:

  • Strong knowledge of governance, regulatory compliance, and board structures, within the charity, membership, or not-for-profit sector.
  • Proven ability to manage committee processes, elections, and governance documentation.
  • Excellent written and verbal communication skills, with the ability to engage and influence senior stakeholders.
  • Strong project management skills and experience of setting up a central project management office, project management oversight, delivery and reporting.
  • Tact, diplomacy, and confidentiality in handling sensitive matters.
  • Highly organised and detail-oriented, capable of managing multiple priorities and deadlines.
  • Knowledge of GDPR and other organisational compliance.
