Overview

In this Senior Manager role, you lead Transaction Forensics work on SPAs within EY’s Assurance practice, partnering with clients, deal teams and advisers to shape M&A pricing and post-deal accounting. You’ll own the delivery, quality, and risk management of engagements while guiding junior colleagues and building client relationships. You’ll advise on SPA negotiations, craft deal-focused insights, and support growth of the Transaction Forensics service line. This is a high-visibility role with exposure to large corporate and PE clients, offering scope for leadership and impact in a fast-paced environment.

Responsibilities

  • Lead and deliver advice on price adjustment mechanisms in M&A transactions, coordinating with clients, bankers, and legal advisers
  • Analyze cash, debt, and working capital adjustments; prepare pricing schedules and review SPA financials
  • Support Completion Accounts and conduct leakage reviews for clients
  • Steer project delivery within timelines and budgets; review team outputs
  • Lead client calls to explain outputs and liaise with other EY advisors
  • Own Quality and Risk Management to ensure compliance with EY standards
  • Advise on negotiations through the transaction with detailed outputs and insights
  • Develop client relationships and support career development of team members
  • Coach junior colleagues and contribute to performance development

Key requirements

  • Fully qualified chartered accountant (ACA/ACCA/CA/ICAS/ICAEW or international equivalent
  • Significant senior M&A transaction experience
  • Expertise in financial analysis, modelling, scenario testing, and documenting financials
  • Strong technical and commercial acumen with industry knowledge
  • Experience reviewing SPAs and pricing mechanisms; SPA team exposure preferred
  • Problem-solving with an application/solutions focus and collaborative leadership
  • Strong negotiation, communication, and presentation skills
  • Ability to manage multiple high-pressure assignments and handle sensitive situations
